Terms of Use/End User License Agreement (EULA)

FCA US LLC is committed to protecting the safety and well being of our customers and guests. For these reasons, we strongly recommend not using this app while operating a motor vehicle. Driving while distracted can result in the loss of vehicle control, resulting in a collision causing property damage, serious injury, or death. Further, by accessing or using this application, you agree to the full terms of use, conditions, and all applicable laws as specified in the End User License Agreement (EULA) below.

FCA US LLC (“FCA”) END USER LICENSE AGREEMENT (“EULA”)

THIS EULA IS A LEGAL AGREEMENT BETWEEN “YOU” AND FCA US LLC SETTING FORTH THE TERMS THAT GOVERN YOUR USE OF THE FCA US LLC VEHICLE OWNER APPS (“LICENSED APPLICATIONS”). BY INSTALLING OR USING ONE OF THESE LICENSED APPLICATIONS, YOU ARE AGREEING TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE LICENSED APPLICATION AND DELETE IT IF YOU HAVE INSTALLED IT.

1. PRIVACY. The Licensed Application is subject to FCA US LLC Privacy Policy set forth at the end of this EULA.

2. LICENSE. The Licensed Application is licensed and not sold to You. The license granted to You for the Licensed Application is limited to a non-transferable, non-exclusive license to use the Licensed Application on a single mobile device that you own or control and only as expressly permitted by the terms of this EULA. You may use the Licensed Application only for your personal, non-commercial use. You may be held legally responsible for any copyright infringement or misuse that is caused by Your direct or indirect failure to comply with copyright laws or the terms of this EULA. The terms of this EULA will govern any upgrades to the Licensed Application provided by FCA that replace and/or supplement the original Licensed Application, unless such upgrade is accompanied by a separate license agreement in which case the terms of that license will govern.

3. INTELLECTUAL PROPERTY, RESTRICTIONS. The Licensed Application (including its content) is the proprietary property of FCA and may include components licensed to FCA by third parties. The Licensed Application is protected by applicable intellectual property laws in the United States and other countries, including copyright. You may not, in whole or in part, copy, modify, create derivative works, merge, decompile, reverse engineer, disassemble, or attempt to derive the source code of the Licensed Application, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open sourced components included with the Licensed Application). The Licensed Application may include security technology that limits Your use of the Licensed Application. You agree that you will not seek to circumvent in any manner any such security technology. You must not remove any copyright or proprietary notices on the Licensed Application. You are not granted a license with respect to any FCA trademark, trade name or service marks.

4. TERMINATION. The license granted by this EULA is effective until terminated by You or FCA, which You or FCA may do in your sole discretion. Your rights under this license will terminate automatically without notice from FCA if you fail to comply with any term(s) of this EULA. Upon termination of the license, You shall cease all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application.

5. SERVICES; THIRD PARTY MATERIALS. The Licensed Application may enable access to FCA’s and third party services and web sites (collectively and individually, “Services”). Use of the Services may require Internet access and that You accept additional terms of service. You understand that by using any of the Services, You may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that the results of any search or entering of a particular URL may automatically and unintentionally generate links or references to objectionable material. Nevertheless, You agree to use the Services at Your sole risk and that FCA will not have any liability to You for content that may be found to be offensive, indecent, or objectionable. Certain Services may display, include or make available content, data, information, Licensed Applications or materials from third parties (“Third Party Materials”) or provide links to certain third party web sites. By using the Services, You acknowledge and agree that FCA is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or web sites. FCA does not warrant or endorse and does not assume and will not have any liability or responsibility to You or any other person for any third-party Services, Third Party Materials or web sites, or for any other materials, products, or services of third parties. Third Party Materials and links to other web sites are provided solely as a convenience to You. Financial information displayed by any Services is for general informational purposes only and is not intended to be relied upon as investment advice. Before executing any securities transaction based upon information obtained through the Services, You should consult with a financial professional. Any Location data provided by any Services is for basic navigational purposes only and is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate or incomplete location data may lead to death, personal injury, property or environmental damage. Neither FCA, nor any of its content providers, guarantees the availability, accuracy, completeness, reliability, or timeliness of stock information or location data displayed by any Services. You agree that any Services contain proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright, and that You will not use such proprietary content, information or materials in any way whatsoever except for permitted use of the Services. No portion of the Services may be reproduced in any form or by any means. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services, in any manner, and You shall not exploit the Services in any unauthorized way whatsoever, including but not limited to, by trespass or burdening network capacity. You further agree not to use the Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party, and that FCA is not in any way responsible for any such use by You, nor for any harassing, threatening, defamatory, offensive or illegal messages or transmissions that You may receive as a result of using any of the Services. In addition, third party Services and Third Party Materials that may be accessed from, displayed on or linked to from your mobile device touch are not available in all languages or in all countries. FCA makes no representation that such Services and Third Party Materials are appropriate or available for use in any particular location. To the extent You choose to access such Services or Third Party Materials, You do so at Your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws. FCA, and the providers of such Services, reserve the right to change, suspend, remove, or disable access to any Services at any time without notice. In no event will FCA be liable for the removal of or disabling of access to any such Services. FCA may also impose limits on the use of or access to certain Services, in any case and without notice or liability.

6. NO WARRANTY. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION (“SERVICES”) ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND FCA HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. LICENSED APPLICATION PROVIDER DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE LICENSED APPLICATION, THAT THE FUNCTIONS CONTAINED IN, OR SERVICES PERFORMED OR PROVIDED BY, THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE LICENSED APPLICATION OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE LICENSED APPLICATION OR SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSED APPLICATION PROVIDER OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

7. LIMITATION OF LIABILITY. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL FCA BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF LICENSED APPLICATION PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall FCA’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

8. You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of nuclear, missiles, or chemical or biological weapons.

9. The Licensed Application and related documentation are “Commercial Items”,as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished-rights reserved under the copyright laws of the United States.\n\n10. The laws of the State of Michigan, excluding its conflicts of law rules, govern this license and your use of the Licensed Application. Your use of the Licensed Application may also be subject to other local, state, national, or international laws. This EULA is the entire agreement between You and FCA regarding the Licensed Application and supersedes all prior agreements, written or oral, between You and FCA in this regard.

Website or Application Usage. We (or our service providers) may observe your activities, preferences, and transactional data (such as your IP address and browser type) as well as pages you have viewed during your use of our Website or Application. Product Registration & Support. FCA may allow customers to register online. Personal Information provided for such purposes may be used to carry out the request, service, or agreement for which the information is submitted. With your consent, we may also use the information you provide in online registration forms to notify you periodically about important things like an update to the Application, a change to our Privacy Statement or notice of a security breach, new FCA products and services, and special offers and promotions that may be of interest to you. Failure to register any FCA product will not diminish the rights you have under the applicable product warranty. Certain promotions may be run by a FCA service provider or vendor or co-branded with one of our partners or run on a third party site like Facebook. In these instances the collection of your Personal Information may occur directly by the service provider or vendor or a third-party partner on their website. The promotion will state the policies governing the collection of such information if they should differ from this Privacy Statement.

NON-PERSONAL INFORMATION, COOKIES, AND RELATED INFORMATION COLLECTION Cookies and Related Technologies. Cookies are small lines of text/data that are written onto your computer by website. FCA or others acting on our behalf may use cookies, pixel tags, web beacons or other similar technologies in connection with the operation of our Websites or Applications. These technologies may collect and store non-Personal Information. We utilize these technologies to research and understand how our Websites and Applications are used, to develop our products and services, to personalize your online experience with FCA and for general advertising and marketing purposes. We may share data collected from you on our Websites with our third party vendors or suppliers to advertise or market to you on other sites as you browse the web. At the end of your visit, session cookies used by FCA are removed. However, in some instances some FCA cookies may persist. DAA Principles for Behavioral Advertising. FCA participates in the industry Self-Regulatory Program for Online Behavioral Advertising managed by the Digital Advertising Alliance (DAA) (www.aboutads.info). As part of this service, FCA online advertisements are sometimes delivered with icons that help consumers understand how data about them is being used and provide choice options for consumers that want more control and an ability to opt out of such behavioral (targeted) advertising. FCA (and/or our partners) may use data collected on our websites to customize advertisements to you on other sites as you browse the web. Please click on the DAA icon or the icon in our targeted advertisements to opt out if you do not want your browsing behavior used for online behavioral advertising purposes.

Children. FCA Websites or Applications are not directed at children. If you are under 18 or otherwise would be required to have parent or guardian consent to share information with FCA, you should not send any information about yourself to us. If a person under 13 submits information through any part of a FCA Website or Application, and we learn the person submitting the information is a child, we will attempt to delete this information as soon as possible. Because we do not knowingly collect any Personal Information from persons under 13, we do not use or disclose such information to third parties.

WHEN CHRYSLER MAY SHARE COLLECTED INFORMATION
FCA may share your Personal Information within our enterprise to fulfill our obligations to you and operate our business consistent with this Privacy Statement and applicable data protection law. We may also share your Personal Information with third parties in certain situations, including:

FCA Affiliates, Vendors and Suppliers. “Affiliates” include FCA dealers, companies that are part of the FCA US LLC family of companies, FCA partners or their respective subsidiaries, employees, and supplemental workers. Vendors and suppliers are companies who perform services for FCA US LLC or its dealers. To the extent it is necessary for these groups to provide their products and services to us and provide products and services you have requested, these third parties may have access to or process your Personal Information. FCA may sometimes permit our authorized service providers to have access to aggregate statistics about our customers, sales, traffic patterns, and related Website or Application information. These transfers of aggregate statistics do not involve Personal Information.
Recruitment and Job Applications. Personal information such as that contained on a resume or curriculum vitae may be submitted in connection with a job application or inquiry. We may use this information throughout FCA (worldwide) for the purpose of employment consideration or your inquiry. We may keep your information on file for future consideration.
Enabling Services. FCA offers a variety of services and functions through its Websites and Applications. Personal Information that is collected through a Website or Application may be used and/or disclosed to third parties in order to enable us to provide functionality or services to you. For example, some FCA Websites and Applications allow you to interface with third party websites or applications. To facilitate that connection, we may use your Personal Information and/or disclose your Personal Information to third parties. When we provide location based services enabled through a third party, we may share data with those services in order to provide the related location based service or functionality.
Public Areas. Any information disclosed in public areas of a FCA Website or Application or third party website (for example, through Facebook, YouTube, Twitter or other sites) will become public information. We cannot control the use of information disclosed in public forums, such as social media platforms, blogs, forums, wikis, chat rooms, and networking functions of mobile-device applications. You should exercise caution when disclosing information in these public areas, especially your Location Data, and be careful how you disclose your Personal Information. Content posted in public areas of FCA Websites or Applications, including advice and opinions, represent the views and is the responsibility of those who post the content. FCA does not necessarily endorse, support, verify, or agree with the content posted. Mergers, Acquisitions, and Insolvency. If FCA should ever file for bankruptcy or merge with another company, or if FCA should decide to buy, sell, or reorganize some part or all of its business, FCA may be required to disclose your Personal Information, including to prospective or actual purchasers in connection with one of these transactions.
As Required by Law and Other Extraordinary Disclosures. FCA may be required to disclose your Personal Information if it: (i) believes it is reasonably necessary to comply with legal process (such as a court order, subpoena, search warrant, etc.) or other legal requirements of any governmental authority, (ii) would potentially mitigate our liability in an actual or potential lawsuit or investigation, (iii) is otherwise necessary to protect our rights or property, or (iv) is necessary to protect the legal rights or property of others.

SECURITY
Data transmissions over the Internet cannot be guaranteed to be 100% secure. Welcome to Alfa Connect and SiriusXM Guardian. Alfa Connect is a consumer wireless service and platform for use in specially-equipped FCA US LLC (“FCA US”) vehicles (“Vehicle(s)”) and related smartphone applications. Alfa Connect also provides you with access to SiriusXM Guardian Services, a suite of connected vehicle services and applications provided to you exclusively by Sirius XM Connected Vehicle Services Inc. (“Sirius XM”). By acknowledging your agreement to these terms through registration and using Alfa Connect or SiriusXM Guardian Services, you agree that you are bound by these Terms of Service (the “Terms”), as well as any other written services and transaction materials that you may receive or be referred to and any confirmation materials that you may receive or be referred to (collectively, the “Agreement”). Alfa Connect may allow you access to other connected vehicle services, which are delivered to you by other third party providers and which are governed by their own respective terms of service. Alfa Connect and SiriusXM Guardian services may be referred to individually or collectively in these Terms as the “Services”.

You agree to the use of electronic documents and records in connection with your registration for and subscription to the Services and all future documents and records in connection with the Services—including without limitation this electronic signature and disclosure notice—and that this use satisfies any requirement that we provide you these documents and their content in writing. These Terms and the Agreement are the agreement between us and you regarding our provision of Services. As used in this Agreement, the terms "you" and "your" shall be deemed to refer to, and these terms and conditions shall be binding upon the person who has registered for and/or activated the Services and any person or entity who uses your Vehicle or the Services as a driver or occupant (e.g., other drivers, passengers). As used in these Terms, the terms "we," "us," and "our," refers to FCA US, Sirius XM, and the employees, directors, officers, subcontractors, representatives and agents of each of them. In addition, the following persons and entities are intended third party beneficiaries of this Agreement: each of FCA US’s and Sirius XM’s affiliates, the Service Providers (as defined below) and each of their affiliates, successors and assigns (collectively, the “Third Party Beneficiaries”). All terms in these Terms are fully enforceable by FCA US and Sirius XM, including without limitation, FCA US and Sirius XM can enforce and benefit from the arbitration provision, disclaimers of warranty, disclaimers of guarantees, any limitations of liability, and limits on consequential damages. Nothing in these Terms shall be construed to confer any right of redress against FCA US, Sirius XM or any Third Party Beneficiary in connection with provision of the Services. “Service Providers” means any person, company, or entity providing any service, equipment, or facilities and with which FCA US or Sirius XM interacts in providing the Services, including, but not limited to, underlying wireless carriers, content suppliers, licensors, public safety answering points, emergency responders and similar service providers (such as police, fire and ambulance), towing companies, distributors and dealers. Service features and capabilities vary according to the Alfa Connect hardware installed in the Vehicle. Not all features, including some emergency services, are available on all makes and models of Vehicles. Please see your dealer or owner’s manual for specific details.

FCA US and SiriusXM reserve the right to modify the Services or these Terms at any time in our sole discretion. We will provide notice of such changes by publishing a revised version of these Terms on the https://www.alfaromeousa.com/alfaconnect website. If you do not agree with the modifications, your sole and exclusive remedy is to not use the Services.

Your subscription to SiriusXM Guardian Services may automatically renew under the Agreement. On the expiration of your initial trial subscription, in order to continue the SiriusXM Guardian Services, you must purchase a paid subscription and choose a Services Plan in advance. After that, at the end of your prepaid subscription, your Services Plan will automatically renew for additional prepaid periods of the same length. Your SiriusXM Guardian account will be billed, and your credit card number on file, if applicable, will automatically be charged at the subscription rate in effect at the time of renewal, plus taxes and other applicable charges unless your subscription is cancelled by you or by us as allowed by these Terms. To cancel, you may call SiriusXM Guardian Customer Care toll-free at 1-844-796-4827 at any time. If you purchased your subscription online, and you are a resident of certain states, and in certain other circumstances, you may cancel online.

1. PRIVACY DISCLOSURE

A. Privacy Policies and Consent. Upon activation of the Alfa Connect platform and SiriusXM Guardian and during your enrollment and use of the Services, FCA US and Sirius XM may collect, use and disclose information from you and your Vehicle. The FCA Connected Vehicle Privacy Policy describing FCA US’s use of your information is located at https://www.alfaromeoconnect.com/en-us/sirius-xm-guardian/terms.html. The SiriusXM Guardian Privacy Policy is available at /www.siriusxmcvs.com/privacy-policy/. (together, the “Privacy Policies”) You may review, modify, correct, or update the account information you provide to us at any time by accessing the online portal at www.mopar.com. The Privacy Policies may change from time to time, so review each of them with regularity and care. The Privacy Policies govern your use of the Services, and each is fully enforceable by FCA US and Sirius XM, respectively. Your information, which includes data from your Vehicle such as location information (“Vehicle Data”) may be collected, used, disclosed, and shared in accordance with these Terms, the Privacy Policies, and U.S. federal and state laws, rules, and regulations where applicable. You consent to the collection, use and disclosure of this information by FCA US and SiriusXM as set forth in these Terms and the Privacy Policies. Your options for limiting the uses or sharing of your information, including Vehicle Data, are set forth in the Privacy Policies. Collection, use and sharing of data is essential to providing the Services. If you do not want any Vehicle Data to be collected through the Alfa Connect platform, or used, or shared by FCA US or Sirius XM, you may opt out by cancelling your services in their entirety by calling us at 1-844-796-4827 and ask to cancel Alfa Connect and SiriusXM Guardian Services for privacy reasons.

B. Data Collection and Use. We may collect and use data as follows: (i) Vehicle: Your Vehicle, as manufactured, may include certain features that may collect Vehicle Data. as described in these Terms and the Privacy Policies for diagnostics, for troubleshooting, and to provide features such as Vehicle health information and drive ratings to you. Additionally, cancellation of SiriusXM Guardian Services, other than as described in Section 1.A. will not stop the collection of Vehicle Data for these purposes; (ii) Services: In providing the Services to you, we may collect, use and share such information with third parties, and retain an electronic or other record of certain information including but not limited to: your Vehicle’s description, location, speed or other driver behavior, direction of travel, time of travel, service data, mechanical condition or incidents involving your Vehicle; your search content and other information about how and when you use the Services; your billing and account information; information about anyone making a call to us from your Vehicle or under your account; the date, time and duration of call; and other service-related usage information; (iii) Satellite Radio: If you are an active subscriber to audio services offered separately by SiriusXM affiliates, we may collect information that is related to the satellite radio in your Vehicle and the ways you use your satellite radio and services. This information is shared and used by Sirius XM and its affiliates to help identify signal outages, to improve audio services product and content offerings, and to customize or communicate with you to enhance your audio listener experience; (iv) Other: We may also record or monitor your Vehicle’s location or other information when instructed by a government entity pursuant to a valid court order; as required by applicable state and federal laws, rules and regulations; or in connection with attempts to communicate with you or recover your Vehicle pursuant to your agreements with FCA US affiliates governing the lease or financing of your Vehicle, if applicable. Vehicle information we collect may also be shared with third parties to enable the third parties to, among other things, improve their products and services. Your options for limiting the sharing of such information with third parties is described in the Privacy Policies.

C. Monitoring and Recording. We or our Service Providers may monitor and record conversations between our and their respective service centers and your Vehicle’s occupants, as well as any conversations between our and their service centers and you or others contacting the service centers to discuss your account outside of the Vehicle. YOU CONSENT TO THE MONITORING AND RECORDING OF ALL CONVERSATIONS BETWEEN THE SERVICE CENTERS AND SUCH PERSONS, AND YOU SHALL ENSURE THAT ALL OTHER DRIVERS AND/OR OCCUPANTS OF YOUR VEHICLE UNDERSTAND AND AGREE THAT SUCH RECORDINGS ARE BEING MADE AND YOU RELEASE US AND ANY SERVICE PROVIDERS AND INDEMNIFY US AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES AND LOSSES THAT MAY RESULT FROM ANY SUCH MONITORED AND/OR RECORDED CONVERSATIONS. Your consent in this section is ongoing and applies whether or not a verbal or written notification of the monitoring or recording is given at the beginning of the conversation. Call recordings may be shared with third parties as described in these Terms and the Privacy Policies.

D. Email Communications. We reserve the right to use and share the email address that you provide to either of us to communicate with you about the Services and to share the email address with one another so each of us may also communicate with you. We may also use your email to tell you about products and services of FCA US or Sirius XM or their affiliates, unless you have told us not to.

E. Communicating with You. By receiving, accessing, using, or enrolling in the Services, you consent on behalf of you and occupants in your Vehicle to wireless communication being conducted in your Vehicle to enable us and our Service Providers to deliver the Services to you or other occupants in your Vehicle. YOU ALSO AGREE THAT WE MAY CONTACT YOU IN YOUR VEHICLE BY VOICE CALL OR BY IN-VEHICLE MESSAGING, BY ELECTRONIC MAIL, OR BY TELEPHONE AT ANY NUMBER WE HAVE ON FILE FOR YOU, AND, IN SOME CIRCUMSTANCES, BY PRERECORDED MESSAGE, EVEN IF DOING SO MAY RESULT IN ADDITIONAL TELECOMMUNICATIONS FEES OR CHARGES TO YOU, TO DISCUSS YOUR ACCOUNT, OFFER UNSOLICITED PROMOTIONS, OR TO DELIVER SERVICES. You may manage your contact preferences online by logging into the mopar.com website and navigating to the SiriusXM Guardian page or in any other manner described in the Privacy Policies.

2. MANDATORY ARBITRATION

AS SET FORTH MORE FULLY BELOW, WHERE ALLOWED BY LAW, YOU, FCA US, AND SIRIUS XM AGREE TO A MANDATORY ARBITRATION PROVISION THAT PROVIDES THAT (EXCEPT FOR MATTERS PROPERLY BROUGHT TO SMALL CLAIMS COURT) ANY CLAIM, CONTROVERSY, OR DISPUTE IN ANY WAY RELATED TO OR CONCERNING THE SERVICES MUST BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL AND NOT A CLASS-WIDE, REPRESENTATIVE, OR CONSOLIDATED BASIS. WITH RESPECT TO SUCH CLAIMS, YOU, SIRIUS XM, AND FCA US WAIVE THE RIGHT TO A TRIAL BY JURY AND THE ABILITY TO BRING OR PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS IN COURT OR ARBITRATION.

3. SIRIUSXM GUARDIAN SERVICE DURATION AND CANCELLATION

A. Duration. A FCA US-paid trial subscription for SiriusXM Guardian Services and is available during the initial twelve (12) months after the purchase or lease date of a new vehicle equipped with a system capable of receiving SiriusXM Guardian Services. You must select and purchase a pre-paid service plan (“Service Plan”) and provide a valid credit card number in order to continue to receive SiriusXM Guardian Services after the trial subscription period has expired. Your self-paid subscription starts immediately following your trial subscription, if any, and continues for the length of time specified in your Service Plan.

B. Termination/Cancellation/Suspension of Your Subscription or Services.

i. Your Cancellation Rights. You can cancel your SiriusXM Guardian subscription at any time by calling us at 1-844-796-4827. If you purchased your subscription online, and you are a resident of certain states, and in certain other circumstances, you may cancel online. The effective date of cancellation will be the date that we receive your notification or on a later date that you request. If you remove your Vehicle from your account on the FCA US MOPAR Portal, you must also call and cancel your SiriusXM Guardian subscription, or you will remain responsible for the payment obligations for your Service Plan. You promise to notify us promptly if you sell your Vehicle, its lease ends or it is destroyed by casualty (each, a “Vehicle Disposal Event”) by calling 1-844-796-4827 to request cancellation of your subscription. If you fail to notify us of a Vehicle Disposal Event your cancellation will not be effective and you will remain responsible for the payment obligations for your Service Plan. If you cancel your subscription or if your subscription is cancelled under these Terms, we have the right to turn off your SiriusXM Guardian Services, and you may be required to pay a reactivation fee if you decide to re-subscribe.

ii. Our Cancellation and Suspension Rights. We reserve the right to cancel your SiriusXM Guardian subscription at any time for any reason in our sole discretion. If we cancel your subscription without cause, we will give you notice thirty (30) days prior to the effective date of cancellation after which your account will be deactivated, and your access to the Services will terminate. We may also cancel your subscription without prior notice to you for any good cause, including but not limited to if you breach any part of the Agreement; if you do not pay amounts that are due, interfere with our efforts to provide service, or interfere with our business; or if your Services or the wireless phone number assigned to your Vehicle for the delivery of the Services is used for illegal or improper purposes. If your subscription is terminated for good cause, we will not refund prepaid or unused portions of your Services fees and whether we permit you to reactivate the Services again will be entirely up to us. We may also terminate your subscription and access to the Services without prior notice if your Vehicle or equipment attached to your Vehicle operates in a manner that creates a nuisance to us or any Service Provider. In either of these cases, we will refund any unused amount remaining in your Services subscription that you have paid in advance (other than any payment that was included in the purchase or lease price of your Vehicle, if any). We may also cancel your Services without prior notice to you if we have received information that establishes you are no longer the owner/lessee of your Vehicle and, in such case, we will not refund any prepaid amounts to you unless you notify us as provided in Section 3B(i). We may suspend your Services for any of the same reasons we may cancel your subscription. We can also suspend the Services for network or system maintenance or improvement; if there is network congestion; or if we suspect the Services are being used for any improper purpose.

iii. Cancellation due to Wireless Network Changes. Telecommunications technologies have been known to change over time, resulting in the obsolescence of certain telecommunications networks. IF THE TELECOMMUNICATIONS TECHNOLOGY OR GPS TECHNOLOGY CHANGES IN A WAY THAT RESULTS IN AN INCOMPATIBILITY OF THOSE TECHNOLOGIES WITH YOUR SYSTEM, THEN YOUR SYSTEM MAY NOT WORK, AND WE MAY BE REQUIRED TO CANCEL YOUR SIRIUSXM GUARDIAN SERVICES.

iv. Transferring Your Services. Unless we agree otherwise, your SiriusXM Guardian Services are not transferrable to another vehicle or to the account of another person. We will only accept requests to activate, cancel, change or reactivate your SiriusXM Guardian Services from you or an additional authorized user of legal age listed on your account (or from someone we believe is your authorized agent), and you agree to pay any charges associated with these requests.

4. SIRIUSXM GUARDIAN FEES AND PAYMENT

A. Service Fees. The subscription service period and fees for your Service Plan will be indicated when you choose your Service Plan and provide your credit card information. At the expiration of your subscription service period, your subscription will automatically renew for additional like service periods, your SiriusXM Guardian account will be billed, and your credit card account on file, if any, will be charged the then current subscription fees in accordance with the payment schedule associated with the Service Plan you have selected and the automatic renewal terms described in these Terms, unless your subscription is cancelled as stated in these Terms. By providing payment account information to us, you represent that you are an authorized user of such payment account. The price of your Service Plan may change over time, and we will use the rates in effect at the time of renewal for the applicable payment period for those charges. The purchase or lease price of your Vehicle may have included a prepayment for a period of time for a specified Service Plan. If applicable, upon expiration of the period covered by such prepayment, we will automatically start charging the payment account you provided as set forth above.

B. Your Payment Obligations. Payment must be made in U.S. Dollars by credit card and is due in advance. We do not accept credit cards issued by Canadian card issuers for recurring payment plans. We also do not accept debit cards or gift cards for recurring payment plans. Your outstanding balance is due in full each payment period. Undisputed portions of your account must be paid by the due date to avoid a late fee and possible deactivation of the Services. We reserve the right to suspend or terminate your Service Plan for non-payment, and deactivate your system. If your credit card provider refuses a charge or an automated withdrawal, we may terminate or suspend your service. If you object to any fees or charges for Services billed by or through us, you must tell us in writing within sixty (60) days after the fee or charge is incurred (unless the law does not allow a limit or requires a longer period), OR YOU WILL AUTOMATICALLY WAIVE THE DISPUTE. We may receive and use updated credit card information from your credit card issuer. Your credit card issuer may give you the right to opt out of the update service. You are responsible for paying directly to all Service Providers any charges for services furnished by them that are not expressly covered by your Service Plan.

C. Taxes and Other Fees. You promise to pay all taxes, fees, and surcharges charged to you by us. We may charge additional fees related to our costs (or the costs of our Service Providers). These can include items such as Federal Universal Service Charges, 911-related assessments or charges, false alarm fines and/or alarm permit fees, and other charges related to governmental costs. Such charges are subject to change. We may not tell you in advance of changes to these items.

D. Refund Rights. Unless you are on a Service Plan with a monthly payment schedule, if you cancel your pre-paid Service Plan prior to its expiration, you will receive a refund of amounts you paid directly, if any, on a pro-rata basis, less any applicable fees and (excluding any amounts included in the purchase or lease price of your Vehicle, if applicable) for any days remaining in the service period, which follow the first of the date (i) you called with or submitted a request for cancellation, or (ii) our receipt of written proof of a Vehicle Disposal Event concerning your Vehicle, after the date of occurrence of such event. If you are on a monthly payment Service Plan, your cancellation will be effective the date you call to cancel, and your Services will not renew at the end of that month. The Services fee for any time remaining in the then current pre-paid month will not be refunded. If your Service Plan was included in the financing of your purchase or lease of a Vehicle, any refund will be payable to your finance company unless the finance company has notified us in writing that your loan has been paid in full. Fees attributable to certain promotional offerings or Services received during demonstration or trial subscription periods may not be refunded. In the event of a Vehicle Disposal Event that pre-dates the effective date of your cancellation, you may apply for a refund adjustment. You will be asked to provide written proof of the sale, lease expiration or destruction of your Vehicle. Our decision to apply a refund adjustment is entirely up to us, and if approved, we will apply the adjustment amount to the valid payment card account you have on file with us.

5. YOUR RESPONSIBILITIES FOR THE USE OF THE SERVICES

A. Eligibility for Use of Services. You must be at least 18 years old, or the age of majority, as determined by the laws of your state of residency, to assume the obligations set forth in these Terms. You, as the primary subscriber, are solely responsible for any use of the Services in your Vehicle, even if you are not the one using it, and even if you later claim the use was not authorized. You are also solely responsible for the Services requested by you, or by anyone using your Vehicle, through the Services.

B. Drive Responsibly. Always drive safely with your hands on the wheel. You have full responsibility and assume all risks related to the use of the Services, features, and applications in your Vehicle. Only use the Services when it is safe to do so. Failure to do so may result in an accident involving serious injury or death. You are responsible for following all applicable laws, rules, and regulations, including requirements of relevant government regulatory bodies, applicable to the use of the Services.

C. Compliance with Terms. You promise to educate and make all other drivers, passengers, or guests of your Vehicle aware of the Services and their limitations, and inform them that they are subject to these Terms in connection with access to and use of the Services. Neither we nor any Service Provider has any obligation to inquire about the authority of anyone using your Vehicle. If you, another driver or a passenger of your Vehicle uses the Services to commit a crime or for another improper purpose, you will be responsible for any damages owed by any of us as a result of such use.

D. Your Insurance Obligations. You are responsible for your Vehicle insurance. The Services, are intended as conveniences and do not provide your Vehicle insurance. The Services are not an insurance product, and neither FCA US nor Sirius XM is an insurance company. The payments you make for your Services are not related to the value of your Vehicle or any property in it or the cost of any injury to or damages suffered by you or anyone else as a result of the operation of your Vehicle. You promise you will obtain and maintain appropriate insurance covering personal injury, loss of property, and other risks. FOR YOURSELF AND FOR ANYONE ELSE CLAIMING UNDER YOU, YOU HEREBY RELEASE AND DISCHARGE FCA US, SIRIUS XM, THE THIRD PARTY BENEFICIARIES, AND EACH OF THEIR PARENTS, AFFILIATES, AND SUBSIDIARIES, AND THE RESPECTIVE OFFICERS, DIRECTORS, AND EMPLOYEES OF ANY OF THEM FROM AND AGAINST ALL HAZARDS COVERED BY YOUR INSURANCE. NO INSURANCE COMPANY OR INSURER WILL HAVE ANY RIGHT OF SUBROGATION AGAINST FCA US, SIRIUS XM, OR THE THIRD PARTY BENEFICIARIES.

E. Passwords and PINs. You promise to be fully responsible for the protection of your password and your PIN. YOU HAVE THE OBLIGATION TO PROTECT YOUR USERNAME, PASSWORD AND PIN FROM UNAUTHORIZED USE. Your PIN is used by SiriusXM Guardian to authenticate your account. You are responsible for the actions related to the Services of any person that has your PIN. If your Service Plan includes remote features, your SiriusXM Guardian PIN provides access to use certain features and applications, for example remote door lock, door unlock, horn and lights, remote start, and Alexa Home to Vehicle, and to make changes to your SiriusXM Guardian Services. Anyone who has access to your password or PINs may be able to access your Alfa Connect and SiriusXM Guardian accounts, the Alfa Connect and SiriusXM Guardian web sites, and any Alfa Connect and/or SiriusXM Guardian applications, including your Alfa Connect mobile app. Neither we nor any Service Provider has any obligation to inquire about the authority of anyone using your password/PINs or other information that can be used to identify your account to request Services for your Vehicle.

F. Proper Use of the Services. You are responsible for your compliance with all regulations, ordinances and other laws applicable to your Vehicle. You promise to use emergency and roadside services only for actual emergencies and roadside assistance needs. You promise not to use the Services for any fraudulent, unlawful, or abusive purpose, or that interferes with our provision of Services to you or to our other customers. You promise you will not abuse or do anything to damage our business operations, services, reputation, employees or facilities. If you do any of these things, you agree you will be responsible for any costs, losses, damages or other amounts anyone else claims from us, plus any expenses, any of which result in whole or in part from that use, misuse, or your actions or omissions.

6. ADDITIONAL TERMS APPLICABLE TO ALL SERVICES

A. Content Rights. All programming, text, software (including source and object codes), information, visual, oral or other digital material, and all other content of any description included in the Services and/or in the system (collectively, the “Content”) and all worldwide copyrights, trademarks, service marks, patents, patent registration rights, trade secrets, know-how, database rights, and all other rights in or relating to the Content (collectively, the “Intellectual Property”) are owned by us or are the property of our licensors and suppliers who have given us permission to use it. You promise not to use any Content you receive through the Services, except as expressly authorized by us and for no other purpose. You cannot license, lease, sell, resell, have licensed, have leased, have sold or resold, or otherwise transfer or convey any of it or use it for commercial purposes. You agree you will not copy, store, reproduce, distribute, modify, display, publish, perform, transmit, broadcast, or create derivative works from the Content.

B. Software, Hardware and Equipment Updates. The Services involve software that we may need to change from time to time. Your Vehicle’s systems also involve software that we may need to change from time to time. You agree to allow this to be done remotely at any time. SiriusXM Guardian Services may be unavailable during the software update process. Such changes may affect or erase data you have stored on the system in your Vehicle. We are not responsible for any lost data. You do not own the Alfa Connect or SiriusXM Guardian software or acquire any rights to use, modify, or reverse engineer the Alfa Connect or SiriusXM Guardian software on your own.

C. Telecommunications/GPS Changes. The system uses digital wireless telecommunications technology and GPS technology that are outside of our control. Telecommunications technologies have been known to change over time, resulting in the obsolescence of certain telecommunications networks. IF THE TELECOMMUNICATIONS TECHNOLOGY OR GPS TECHNOLOGY CHANGES IN A WAY THAT RESULTS IN AN INCOMPATIBILITY OF THOSE TECHNOLOGIES WITH YOUR SYSTEM, THEN YOUR SYSTEM MAY NOT WORK, AND WE MAY BE REQUIRED TO CANCEL YOUR SIRIUSXM GUARDIAN SUBSCRIPTION.

D. Wireless Carriers. You have no rights in the wireless phone number assigned to your system. We can change the number at any time. As a condition to providing wireless service, the wireless carrier requires that you agree to the terms in this section. You agree that you have no contractual relationship whatsoever with the wireless carrier and that you are not a third-party beneficiary of any agreement between FCA US or Sirius XM and any wireless carrier. IN ADDITION, YOU AGREE THAT THE WIRELESS CARRIER HAS NO LEGAL OR EQUITABLE LIABILITY OR OTHER LIABILITY OF ANY KIND TO YOU. If another wireless service provider is involved in any problem (for example, because of roaming,) you also agree to any limitations of liability that it imposes on its customers.

7. ADDITIONAL TERMS APPLICABLE TO SIRIUSXM GUARDIAN SERVICES

A. System Requirements and Activation. To receive certain Services including SiriusXM Guardian Services, your Vehicle must come with an authorized Alfa Connect system which is capable of being connected to the designated wireless carrier network, and contains the necessary equipment, including hardware and software, used to provide SiriusXM Guardian Services to your Vehicle. In addition, you must register with Alfa Connect and maintain an active SiriusXM Guardian subscription. YOU CAN ONLY RECEIVE AND USE SIRIUSXM GUARDIAN SERVICES BY ACCEPTING THESE TERMS. SUBJECT TO APPLICABLE LAW, YOU ACCEPT THESE TERMS AND START YOUR SIRIUSXM GUARDIAN SUBSCRIPTION WHEN THE EARLIEST OF THE FOLLOWING OCCURS: WHEN YOU COMPLETE AND ELECTRONICALLY SIGN THESE TERMS ONLINE, AT YOUR DEALERSHIP, OR FROM THE ALFA CONNECT SYSTEM IN YOUR VEHICLE, OR WHEN YOU SPEAK WITH A SIRIUS XM CUSTOMER CARE AGENT TO SUBSCRIBE TO SERVICES, OR WHEN YOU (OR SOMEONE YOU AUTHORIZE TO USE YOUR VEHICLE) USE THE SIRIUSXM GUARDIAN SERVICES OR ACCEPT ANY OF THE BENEFITS OF THOSE SERVICES (INCLUDING USING A VEHICLE WITH AN ACTIVE SIRIUSXM GUARDIAN SYSTEM). IF YOU DO ANY ONE OR MORE OF THESE THINGS TO ACCEPT, YOU ARE BOUND BY THIS AGREEMENT AND ANY LATER CHANGES OR AMENDMENTS TO IT.

B. Service Providers and Emergency Services. To provide some SiriusXM Guardian Services, Sirius XM may interact with and/or engage Service Providers. Sirius XM may receive and respond to your requests for Services through an automated operator or through customer care personnel sometimes referred to as “operators” or “agents”. Specifically, for emergency services such as SOS and/or Assisted SOS (“ASOS), when we receive an emergency signal from your Vehicle, SiriusXM Guardian agents will first attempt to verify your emergency, and then if appropriate, connect you or your Vehicle to third party emergency responders such as the police, fire department, ambulance service, or other relevant Service Providers such as roadside assistance. The agents will use reasonable efforts to contact appropriate Service Providers for help when you ask for it, but you understand that we cannot assure you, or make any guarantees, about the manner or timeliness of such third party response or even whether third party emergency responders or Service Providers will in fact respond to your emergency at all or in a timely manner. The laws in some places require an emergency to be confirmed before emergency Service Providers will provide service. We will not contact emergency Service Providers in these locations in response to an emergency button press (“SOS Button”) if we cannot hear your request for assistance or otherwise confirm that an emergency exists. We also may not contact emergency Service Providers in any location in response to SOS Button presses from cars situated in locations which reasonably indicate that an emergency is unlikely, such as car dealerships, rental car companies, car washes or your address if we cannot hear your request for assistance. NOTE: Vehicles with screen displays of 5” or less do not have voice services functionality and are not able to receive SOS or ASOS services.

C. System and Service Limitations

i. Availability. SiriusXM Guardian Services are only available while traveling in the United States, including Puerto Rico, and Canada. Extended use of the Services in Canada for vehicles purchased in the United States may incur roaming charges, and functionality of the service may be limited. SiriusXM Guardian works using wireless communication networks and the Global Positioning System ("GPS") satellite network. NOT ALL FEATURES OF SIRIUSXM GUARDIAN SERVICES ARE AVAILABLE EVERYWHERE, PARTICULARLY IN REMOTE OR ENCLOSED AREAS, OR ON ALL VEHICLES, AT ALL TIMES. The area that you are driving in may affect the type or quality of service that we can provide to you, including but not limited to routing service. Additionally, some SiriusXM Guardian Services may not be fully available if the GPS system is not working (map CD or DVD may be required). Certain programming limitations of the GPS system may impair our ability to determine your Vehicle’s precise location.

ii. Technology and Communications. SiriusXM Guardian cannot work unless your Vehicle is in a place where we have an agreement with a wireless service provider for service in that area. SiriusXM Guardian also cannot work unless you are in a place where the wireless service provider engaged for that area has coverage, network capacity, and reception when the service is needed, and technology that is compatible with SiriusXM Guardian. Features of SiriusXM Guardian that involve location information about your Vehicle cannot work unless GPS satellite signals are unobstructed, available in that place and compatible with the SiriusXM Guardian system as well.

iii. Vehicle and Equipment. SiriusXM Guardian uses an embedded device installed in your Vehicle which receives GPS signals and communicates with the SiriusXM Guardian customer care center via wireless and landline communications networks. The system is not intended to place or receive personal calls and may only place calls to our Service Providers as permitted under this Agreement. YOUR VEHICLE MUST HAVE A WORKING ELECTRICAL SYSTEM (INCLUDING ADEQUATE BATTERY POWER) FOR THE SYSTEM TO OPERATE. IF YOUR VEHICLE LOSES BATTERY POWER OR SUSTAINS DAMAGE TO CRITICAL ELECTRICAL AND/OR ANTENNA WIRING AND SUBSYSTEMS FOR ANY REASON (INCLUDING BEFORE, DURING OR AFTER AN ACCIDENT) SIRIUS XM GUARDIAN WILL NOT WORK. You may need to increase the volume of your radio to hear operator services or automated voice delivered services from the system. The Services may not work if your system is not properly installed (by someone FCA US has authorized) or you have not maintained it and your Vehicle is not in good working order and in compliance with all government regulations. If you try to add or modify any equipment or software in your Vehicle, including the system, the Services may not work and we may terminate your SiriusXM Guardian Services. Your system needs to be compatible with SiriusXM Guardian and the wireless service and technology provided by our wireless Service Provider. If your Vehicle has not been started within twenty-one days, certain SiriusXM Guardian Services may not be available until the Vehicle is started again.

iv. Geography and Environment. There are other problems we cannot control that may prevent us from providing SiriusXM Guardian Services to you at any particular time or place, or that may impair the quality of the Services. Some examples are hills, structures, buildings, tunnels, weather, actions of third parties, electrical system design and architecture of your Vehicle, damage to important parts of your Vehicle in an accident, wireless coverage area or network congestion, or physical location of the Vehicle (e.g., in an underground parking structure, on a bridge). You agree that use of the Services is subject to these limitations and restrictions outside of Sirius XM’s and FCA US’s control.

v. Maps and Navigation. Routing data is provided by map information available from our service provider which may be inaccurate or incomplete. For example, routing data may not include information about one-way roads, turn restrictions, construction projects, seasonal roads, detours or new roads. It may suggest using a road that is now closed for construction or a turn that is prohibited by signs at the intersection. In addition, traffic, weather and other events may cause road conditions to differ from the results generated. You should always use good judgment, obey traffic and roadway laws and instructions, and evaluate whether it is safe and legal based on current traffic, weather and other conditions to follow the directions provided by SiriusXM Guardian or your Vehicle’s navigation system. Our mapping Service Provider requires that we inform you that by using Google Maps, you are subject to the Google Maps/ Google Earth Additional Terms of Service, which may be found here: https://www.google.com/intl/en-US_US/help/terms_maps.html, including the Google Privacy Policy found here: https://www.google.com/intl/ALL/policies/privacy/index.html.

vi. Available Information. SiriusXM Guardian may be limited to geographic areas where map data and emergency (911) contact information is available in our databases or provided from the databases of our Service Providers, which may result in less map data and emergency contact information than that which is generally available.

vii. Outside Our Control. SiriusXM Guardian is not responsible for any delay or failure in performance if such failure or delay could not have been prevented by reasonable precautions. Additionally, SiriusXM Guardian is not responsible if such failure or delay is caused by acts of nature, or forces or causes beyond our reasonable control. Examples include public utility electrical failure, acts of war, government actions, terrorism, civil disturbances, labor shortages or difficulties (regardless of cause), tornadoes, blizzards, or equipment failures including Internet, computer, telecommunication or other equipment or technology failures.

D. Information and Agreements about Specific Features

i. Stolen Vehicle Assistance. If your Service Plan includes Stolen Vehicle Assistance and your Vehicle is stolen, we can try to locate it. Before we try to locate it, you will need to file a stolen vehicle police report with the local authorities and be able to verify your identity to us. We will ask for information about the police report you filed and verify with the local authorities that they are treating the Vehicle as stolen. For your safety and the safety of others, only you or someone you have authorized as your agent may request Stolen Vehicle Assistance for your Vehicle, and we will provide location information about your stolen Vehicle only to law enforcement. We may provide vehicle location service and information using the Stolen Vehicle Assistance feature to an authorized third party such as a government entity pursuant to a valid court order or other official governmental action, or one of FCA US’s affiliates in connection with the leasing or financing of your Vehicle. We also are not required to try to find your Vehicle for the purpose of locating a person.

ii. Location of Your Vehicle in Connection with Lease/Finance. If you lease or finance your Vehicle through FCA US or one of its affiliates, and you breach any of the terms of the agreements governing such lease or finance, we may use SiriusXM Guardian Services to locate you or your Vehicle for the purpose of communicating with you and/or recovering your Vehicle. YOU EXPRESSLY CONSENT TO THE USE OF SIRIUSXM GUARDIAN SERVICES IN THIS MANNER.

iii. Theft Alarm Notification. If your Vehicle has the capability for theft alarm notification activated and your Service Plan includes the theft alarm notification feature, you may elect to be notified by email or text message that a theft alarm event has been detected. The notification may provide an approximate Vehicle location if the Vehicle is in cellular range. If the Vehicle is not in cellular range at the time the theft alarm is triggered, the notification may be sent when the Vehicle comes into cellular range. Sirius XM does not promise that the notification will always be sent or that the notification will alert you in all cases of theft. You cannot recall or terminate a theft alarm message.

iv. Vehicle Finder and Drive Alerts. If included in your Service Plan, the Vehicle Finder feature can assist you in locating your Vehicle on a map if the Vehicle is parked or turned on and moving at five miles per hour or less. If available in your Vehicle and included in your Service Plan, the Drive Alert features allow you to set limits related to your Vehicle’s activity and to receive alerts when the limits have been exceeded. You understand that your choice to activate any of these service features when available allows you to remotely monitor certain information about your Vehicle, including its location, even if someone other than you is in control of your Vehicle. You agree to adhere to the terms of the Agreement regarding informing other users and occupants of your Vehicle about SiriusXM Guardian, the ability to collect vehicle and location information, and system features and limitations. These service features may require you to establish and use a PIN each time one of them is accessed, and is limited to activation by web or mobile app. You understand that anyone who has access to your password/PIN may use these services, and that it is your responsibility to protect your password/PIN. YOU ARE RESPONSIBLE FOR YOUR OWN SAFETY IN LOCATING OR RECOVERING YOUR VEHICLE. IF YOUR VEHICLE HAS BEEN STOLEN, NOTIFY LOCAL AUTHORITIES IMMEDIATELY AND DO NOT TRY TO RECOVER THE VEHICLE ON YOUR OWN.

v. Content-Based Services. The information available via any content-based features of SiriusXM Guardian is limited to that information which is available in the databases of the Service Providers selected by us, which may or may not be complete or accurate at all times.

vi. Remote Door Lock/Unlock. If you are subscribed to a Service Plan that includes remote services, we may lock or unlock your Vehicle doors remotely at your request. This feature requires you to establish and use a PIN each time it is accessed, whether the service is accessed through a SiriusXM Guardian agent, web, or mobile app. WE WILL ACTIVATE THIS FEATURE FOR ANYONE WHO CAN PROVIDE US WITH YOUR PASSWORD/PIN OR OTHER SATISFACTORY IDENTIFIER OF YOUR ACCOUNT. If remote door unlock is unsuccessful, we may contact roadside assistance or emergency Service Providers to help you at your request. The request will not be processed if Vehicle is in motion; the ignition key is on; or you are in an emergency call. For safety and security, remote commands may be inhibited based on frequency of attempts or the current state of the Vehicle. Remote commands will not function while the Stolen Vehicle Assistance feature is engaged. You are responsible for knowing where the Vehicle is and for the security of your Vehicle. SiriusXM Guardian does not promise that the remote lock and unlock features will always work.

vii. Remote Horn & Lights. If you are subscribed to a Service Plan that includes remote services, we may sound your horn or flash your lights remotely at your request. IT IS YOUR RESPONSIBILITY PRIOR TO ACTIVATING REMOTE SOUND HORN & LIGHTS OR REMOTE LIGHTS TO ENSURE THAT DOING SO WILL NOT VIOLATE ANY REGULATION, ORDINANCE OR OTHER LAW APPLICABLE TO THE LOCATION OF YOUR VEHICLE AT TIME OF ACTIVATION. The request will not be processed if Vehicle is in motion; the ignition key is on; or you are in an emergency call. For safety and security, remote commands may be inhibited based on frequency of attempts or the current state of the Vehicle. Remote commands will not function while the Stolen Vehicle Assistance feature is engaged. You are responsible for knowing where the Vehicle is and for the security of your Vehicle. SiriusXM Guardian does not promise that the remote horn and lights features will always work.

viii. Remote Vehicle Start. If you are subscribed to a Service Plan that includes remote services and your Vehicle is Remote Vehicle Start-enabled, we may start or stop your Vehicle remotely at your request. It is your responsibility prior to activating Remote Vehicle Start to ensure that your Vehicle is parked and in the proper gear, under conditions that make it safe to start the engine, as well as to ensure that starting your Vehicle remotely will not violate any regulation, ordinance, or other law applicable to the location of your Vehicle at time of activation. In order to execute a Cancel Remote Vehicle Start, your Vehicle must have been started through a Remote Vehicle Start request. The Remote Vehicle Start and Cancel Remote Vehicle Start features require you to establish and use a PIN each time it is accessed, whether by operator, web, mobile app or phone. WE WILL ACTIVATE THIS FEATURE FOR ANYONE WHO CAN PROVIDE US WITH YOUR PASSWORD/PIN OR OTHER SATISFACTORY IDENTIFIER OF YOUR ACCOUNT. For safety and security, remote commands may be inhibited based on frequency of attempts or the current state of the Vehicle. Remote commands will not function while the Stolen Vehicle Assistance feature is engaged. You are responsible for knowing where your Vehicle is and for the security of your Vehicle. We do not promise that the Remote Vehicle Start and Cancel Remote Vehicle Start features will always work. Remote Vehicle Start and Cancel Remote Vehicle Start may not be available in all vehicle models.

7. LIMITATIONS ON WARRANTIES AND LIABILITY

A. No Warranties. Warranties are special kinds of promises. Your Vehicle’s limited warranty or hardware maker’s limited warranty (if applicable) include the Alfa Connect equipment in your Vehicle, BUT DOES NOT COVER SIRIUSXM GUARDIAN OR THE WIRELESS NETWORK SERVICE. In addition, we cannot promise uninterrupted or problem-free service, and cannot promise that the data or information provided to you will be error-free. SiriusXM Guardian Services are provided by Sirius XM and Service Providers. ALL DATA AND INFORMATION IS PROVIDED TO YOU ON AN "AS IS" BASIS. NEITHER WE, NOR ANY THIRD PARTY, MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, ABOUT ALFA CONNECT SERVICES OR SIRIUSXM GUARDIAN SERVICES, NOR ABOUT ANY DATA OR INFORMATION OR SERVICES PROVIDED THROUGH THEM. THIS MEANS, AMONG OTHER THINGS, NO WARRANTIES OF CONTENT, QUALITY, ACCURACY, TIMELINESS, COMPLETENESS, CORRECTNESS, RELIABILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES ARE EXPRESSLY EXCLUDED BY THIS AGREEMENT.

B. Limitations of Liability. YOU AND WE ARE EACH WAIVING IMPORTANT RIGHTS. UNLESS FORBIDDEN BY LAW IN A PARTICULAR INSTANCE, WE EACH AGREE AS FOLLOWS:

i. NONE OF FCA US, SIRIUS XM OR THE THIRD PARTY BENEFICIARIES WILL BE LIABLE FOR THE ACTIONS OR INACTIONS OF ANY SERVICE PROVIDER WE CONTACT FOR YOU OR YOUR VEHICLE, OR FOR OUR INABILITY TO CONTACT ANY SERVICE PROVIDER IN ANY PARTICULAR SITUATION.

ii. NONE OF FCA US, SIRIUS XM OR THE THIRD PARTY BENEFICIARIES WILL BE LIABLE TO YOU FOR (1) ANY INJURIES TO PERSONS OR PROPERTY ARISING OUT OF OR RELATING TO YOUR OR THE OCCUPANT’S OR YOUR VEHICLE’S USE OF THE ALFA CONNECT SYSTEM OR SIRIUSXM GUARDIAN SERVICES, OR (2) ANY DAMAGES ARISING OUT OF OR RELATING TO THE INSTALLATION, REPAIR, OR MAINTENANCE OF THE ALFA CONNECT SYSTEM OR THE SERVICES.

iii. NONE OF FCA US, SIRIUS XM OR THE THIRD PARTY BENEFICIARIES WILL BE LIABLE TO YOU OR ANY OTHER PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS) IN CONNECTION WITH THE SERVICES OR THE SYSTEM, EVEN IF FCA US, SIRIUS XM OR A THIRD PARTY BENEFICIARIES ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS APPLY TO ALL CLAIMS, INCLUDING, WITHOUT LIMITATION, CLAIMS IN CONTRACT AND TORT (SUCH AS NEGLIGENCE, PRODUCT LIABILITY AND STRICT LIABILITY).

iv. If notwithstanding the exclusions set forth in these Terms, FCA US, Sirius XM or a Third Party Beneficiary is found to be liable, THE MAXIMUM AGGREGATE LIABILITY OF FCA US, SIRIUS XM, AND THE THIRD PARTY BENEFICIARIES TO YOU UNDER ANY THEORY (INCLUDING BUT NOT LIMITED TO FRAUD, MISREPRESENTATION, BREACH OF CONTRACT, PERSONAL INJURY, OR PRODUCTS LIABILITY) IS LIMITED TO THE GREATER OF (A) $500 OR (B) THE TOTAL AMOUNT PAID BY YOU FOR THE PORTION OF SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE DATE YOUR CLAIM AROSE. YOU AGREE THAT NONE OF US -- FCA US, SIRIUS XM, NOR ANY THIRD PARTY BENEFICIARY -- WOULD HAVE AGREED TO PROVIDE THE SERVICES TO YOU IF YOU DID NOT AGREE TO THIS LIMITATION. THIS AMOUNT IS THE SOLE AND EXCLUSIVE LIABILITY TO YOU OF FCA US, SIRIUS XM, AND THE THIRD PARTY BENEFICIARIES, AND IS PAYABLE AS LIQUIDATED DAMAGES AND NOT AS A PENALTY.

v. YOU CANNOT RECOVER FROM FCA US, SIRIUS XM OR ANY THIRD PARTY BENEFICIARY (1) PUNITIVE OR EXEMPLARY DAMAGES, (2) TREBLE, CONSEQUENTIAL, INDIRECT, INCIDENTAL OR SPECIAL DAMAGES, OR (3) ATTORNEY'S FEES. YOU WAIVE, TO THE FULLEST EXTENT ALLOWED BY LAW, ANY CLAIM FOR DAMAGES OTHER THAN DIRECT, ACTUAL, COMPENSATORY DAMAGES AS LIMITED IN THIS AGREEMENT.

vi. WE HAVE NO LIABILITY FOR SERVICE INTERRUPTIONS OF THIRTY (30) DAYS OR LESS. TO RECEIVE SERVICE CREDIT FOR LONGER INTERRUPTIONS, YOU MUST NOTIFY US WITHIN SIXTY (60) DAYS AFTER THE TIME WHEN THAT SERVICE INTERRUPTION STARTED. EXCEPT FOR ANY CREDITS PROVIDED VOLUNTARILY BY US AS DESCRIBED ABOVE, NO ONE IS LIABLE TO YOU FOR DROPPED CALLS OR INTERRUPTED SERVICE, OR FOR PROBLEMS CAUSED BY OR CONTRIBUTED TO BY YOU, BY ANY THIRD PARTY, BY BUILDINGS, HILLS, TUNNELS, NETWORK CONGESTION, WEATHER, OR ANY OTHER THINGS WE OR OUR SERVICE PROVIDERS ARE UNABLE TO CONTROL.

vii. NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, YOU EXCUSE ANY NON-PERFORMANCE BY US OR ANY SERVICE PROVIDER CAUSED IN WHOLE OR IN PART BY AN ACT OR OMISSION OF A THIRD PARTY, OR BY ANY EQUIPMENT FAILURE, ACT OF GOD, NATURAL DISASTER, STRIKE, EQUIPMENT OR FACILITY OR SERVICE SHORTAGE OR SERVICE OUTAGE, OR OTHER CAUSES BEYOND THE CONTROL OF FCA US, SIRIUS XM, OR ANY SERVICE PROVIDER.

vii. YOU AGREE THAT NONE OF FCA US, SIRIUS XM, OR ANY SERVICE PROVIDER WHO SENDS YOU DATA OR INFORMATION THROUGH ALFA CONNECT OR SIRIUSXM GUARDIAN IS LIABLE FOR ANY ERRORS, DEFECTS, PROBLEMS, OR MISTAKES IN THAT DATA OR INFORMATION.

viii. You agree that the limitations of liability and indemnities in these Terms will survive even after the Agreement has ended. These limitations of liability apply not only to you, but to anyone using your Vehicle, to anyone making a claim on your behalf, and to any claims made by your family, employees, customers, or others arising out of or relating to the Services or the Alfa Connect system.

C. Your Indemnification Obligation. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS US AND THE THIRD PARTY BENEFICIARIES FROM AND AGAINST ANY AND ALL COSTS, EXPENSES, ACTS, ACTIONS OR CLAIMS, ARISING OUT OF OR IN CONNECTION WITH THE ACTIVITIES CONTEMPLATED BY THE AGREEMENT, WHETHER BROUGHT BY YOU OR THIRD PARTIES.

D. Your Responsibility for Third Parties’ Claims. YOU AGREE THAT YOU WILL BE RESPONSIBLE FOR ANY AMOUNT ANYONE ELSE CLAIMS FROM US OR THE THIRD PARTY BENEFICIARIES, PLUS ANY EXPENSES RESULTING FROM ANY CLAIM, DEMAND OR ACTION, REGARDLESS OF THE NATURE OF THE CAUSE OF THE CLAIM, DEMAND, OR ACTION ALLEGING LOSS, COSTS, EXPENSES, DAMAGES, OR INJURIES (INCLUDING INJURIES RESULTING IN DEATH) ARISING OUT OF OR IN CONNECTION WITH (1) THE ACTIVITIES CONTEMPLATED BY THESE TERMS, WHETHER BROUGHT BY YOU, THE OCCUPANTS OF YOUR VEHICLE, YOUR EMPLOYEES, OR THIRD PARTIES, EVEN IF DUE TO THE NEGLIGENCE OF US, OR ANY OF THE SERVICE PROVIDERS; (2) THE COLLECTION, USE OR POSSESSION OF DATA OR INFORMATION PROVIDED IN CONNECTION WITH THE SERVICES; (3) CLAIMS FOR LIBEL, SLANDER, OR ANY PROPERTY DAMAGE, PERSONAL INJURY OR DEATH, ARISING OUT OF OR RELATED IN ANY WAY DIRECTLY OR INDIRECTLY TO THE AGREEMENT; OR (4) THE USE, FAILURE TO USE, OR INABILITY TO USE THE SERVICES, EXCEPT WHERE THE CLAIMS RESULT FROM THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF US OR ANY OF THE SERVICE PROVIDERS. IN ADDITION, IF YOU HAVE AUTHORIZED CHARGES FOR AMOUNTS DUE AGAINST YOUR CREDIT CARD ACCOUNT BY GIVING US A CARD NUMBER, THEN YOUR AGREEMENT IN THIS SECTION EXTENDS TO CLAIMS, EXPENSES, LIABILITIES, OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OR OWNERSHIP OF THE CREDIT CARD ACCOUNT, OR OTHER SIMILAR PAYMENT ACCOUNT, OR FROM THE ISSUER'S REFUSAL TO PAY AMOUNTS CHARGED TO SUCH ACCOUNT.

8. GENERAL LEGAL INFORMATION

A. Resolving Disputes

i. Arbitration. We and you agree that any dispute between us will be resolved by binding arbitration. Arbitration is not a court proceeding. The rules of arbitration differ from the rules of court. In arbitration, a dispute is resolved by an arbitrator, or a panel of arbitrators, instead of by a judge or jury. This agreement to arbitrate is intended to be broadly interpreted. It includes, but is not limited to: (i) claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory; (ii) claims that arose before this or any prior agreement (including, but not limited to, claims relating to advertising); (iii) claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and (iv) claims that may arise after the termination of the Agreement.

You understand and agree that the parties would have had a right or opportunity to litigate disputes through a court and, by entering into the Agreement, accepting these Terms, accessing or using the Services, you and we are each waiving the right to a trial by jury or to participate in a class action. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, including, for example, the Federal Trade Commission. Such agencies can, if the law allows, seek relief against us on your behalf. References to “we” or “us” in this section 8 include FCA US, Sirius XM and the Third Party Beneficiaries, and references to "you," and “we” or "us" in this section 8 include our respective subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of the Services or system under this or prior agreements between us.

In order to expedite and control the cost of disputes, you agree that any legal or equitable claim relating to the Services or your subscription or the Agreement (a “Claim”), will be resolved as follows:

a. Informal Claim Resolution. To initiate an informal resolution to a Claim, you must send by first class mail a written Notice of Dispute ("Notice") to FCA US, LLC and Sirius XM Connected Vehicle Services Inc. Copies of the Notice should be sent to each of the following addresses: FCA US LLC, 1000 Chrysler Drive, Auburn Hills, MI 48326-2766, Attn: Legal Department and Sirius XM Connected Vehicle Services Inc., 1290 Avenue of the Americas, 11th Floor, New York, NY 10104, Attn: Legal Department. Neither of us may start a formal proceeding for at least sixty (60) days after one of us notifies the other of a Claim in writing. If we initiate a Claim, we will send our notice to the billing address on file with us. The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought.

b. Formal Claim Resolution. If we cannot resolve a Claim informally, including any claim between us, and any claim by either of us against any agent, employee successor, or assign of the other, including to the full extent permitted by applicable law, third parties who are not party to the Agreement whether related to the Agreement or otherwise, including past, present, and future Claims and disputes, and including any dispute as to the validity or applicability of this arbitration clause, then these Claims shall be resolved, upon election by any party, exclusively and finally by binding arbitration. Private arbitration will be conducted by a neutral arbitrator and administered by the American Arbitration Association (“AAA”) in accordance with its commercial arbitration rules, as modified by these Terms. The arbitrator is bound by the terms of these Terms. All issues are for the arbitrator to decide, except that issues relating to the scope and enforceability of the arbitration provision are for the court to decide. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. During the arbitration, the amount of any settlement offer made by us or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or we are entitled. The arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. This arbitration provision shall survive termination of the Agreement.

c. Small Claims. Instead of proceeding to arbitration, either you or we have the option to pursue a Claim in small claims court (or the equivalent) so long as the Claim (1) remains in that court, and (2) is made solely on our behalf (if brought by us) or on your behalf. However, if that claim is transferred or appealed to a different court, we reserve our right to elect arbitration.

d. Class Actions and Severability. If either party elects to resolve a claim by arbitration, that Claim shall be arbitrated on an individual basis. There shall be no right or authority for any claims to be arbitrated on a class action basis or on bases involving Claims brought in a purported representative capacity on behalf of the general public, other subscribers or other persons similarly situated. No Claim submitted to arbitration is heard by a jury or may be brought as a private attorney general. You do not have the right to act as a class representative or participate as a member of a class of claimants with respect to any Claim submitted to arbitration (“Class Action Waiver”). The parties acknowledge and agree that under no circumstances will a class action be arbitrated. If any portion of this arbitration agreement or the Class Action Waiver is limited, voided or cannot be enforced, then the entirety of this arbitration provision (except for this sentence) shall be null and void with respect to such proceeding, subject to the right to appeal the limitation or invalidation of the Class Action Waiver, that portion will be severed, and the rest of the arbitration agreement will continue to apply. “Claim” does not include any challenge to the validity and effect of the Class Action Waiver, which must be decided by a court. If this entire agreement to arbitrate shall be null and void, then the parties agree that any actions shall be brought in the State or Federal courts of New York, New York.

e. Binding Effect. This arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act (“FAA”), and not by any state law concerning arbitration. In the arbitration proceeding, the arbitrator must follow applicable law, and any award may be challenged, as set forth in the FAA. Any court with jurisdiction may enter judgment upon the arbitrator’s award. The arbitrator’s decision is final and binding on all parties and may be enforced in any federal or state court with jurisdiction.

ii. Governing Law. To the fullest extent permitted by law and except as explicitly provided otherwise, this Agreement and any disputes arising out of or relating to it will be governed by the laws of the state of New York. If for some reason these arbitration requirements do not apply, or a claim proceeds in small claims court, we each waive any trial by jury and a judge will decide any and all disputes.

iii. Time Limits. EXCEPT WHERE PROHIBITED BY LAW, YOU ARE NOT ALLOWED TO BRING ANY CLAIM AGAINST FCA US OR SIRIUS XM MORE THAN TWO YEARS AFTER THE CLAIM ARISES.

iv. Communicating with Each Other. You can contact us at 1-844-796-4827 or by mail at or Sirius XM Guardian, P.O. Box 33058, Detroit, MI 48232; or by pressing the Assist Button in your Vehicle and choosing the SiriusXM Guardian Customer Care option to speak to a SiriusXM Guardian agent.

v. Notice Information. ANY WRITTEN NOTICE FROM YOU REQUIRED BY THIS AGREEMENT WILL BE CONSIDERED GIVEN WHEN RECEIVED AT: FCA US LLC, 1000 CHRYSLER DRIVE, AUBURN HILLS, MI 48326-2766, ATTN: LEGAL DEPARTMENT, AND: SIRIUS XM CONNECTED VEHICLE SERVICES INC., 1290 AVENUE OF THE AMERICAS, 11TH FLOOR, NEW YORK, NY 10104, ATTN: LEGAL DEPARTMENT. ANY WRITTEN NOTICE FROM US REQUIRED BY THIS AGREEMENT WILL BE CONSIDERED GIVEN WHEN WE SEND IT BY EMAIL TO ANY EMAIL ADDRESS YOU HAVE PROVIDED TO US, OR TWO DAYS AFTER WE MAIL IT TO YOU AT THE MOST CURRENT BILLING ADDRESS WE HAVE ON FILE FOR YOU.

Changes to this Agreement. WE RESERVE THE RIGHT TO CHANGE THESE TERMS AT ANY TIME. ANY CHANGES WILL BE EFFECTIVE UPON POSTING OF THE REVISIONS ON THE DRIVEALFA CONNECT.COM WEBSITE REFLECTING THE NEW EFFECTIVE DATE. THIS INCLUDES BUT IS NOT LIMITED TO CHANGING THE PRICES OR SERVICES PROVIDED. IF WE MAKE ANY MATERIAL CHANGES TO THIS AGREEMENT THAT, IN OUR SOLE JUDGMENT, WOULD HAVE AN ADVERSE EFFECT ON YOUR USE OF THE SERVICE, OR IF ANY SUCH CHANGE MATERIALLY AFFECTS YOUR RIGHTS UNDER THE AGREEMENT, WE WILL PROVIDE YOU WITH NOTICE OF SUCH CHANGE, WHICH MAY INCLUDE NOTICE BY ELECTRONIC MAIL. YOU MAY CANCEL YOUR SERVICES OR AGREE TO THE CHANGE. IF YOU DO NOT CANCEL YOUR SERVICES WITHIN THIRTY (30) DAYS OF THE DATE OF THE NOTICE, THEN YOU WILL BE AGREEING TO THE CHANGE AND IT WILL AUTOMATICALLY BECOME PART OF THE AGREEMENT. YOU SHOULD FREQUENTLY REVIEW THESE TERMS (INCLUDING THE EFFECTIVE DATE) AND APPLICABLE POLICIES FROM TIME TO TIME TO UNDERSTAND THE TERMS THAT APPLY TO YOUR USE OF THE SERVICES. In the event of any potential conflict between these Terms and the terms of any offer for the Services, these Terms will govern. vii. Our Relationship. The Agreement does not create any fiduciary relationships between you and us. It also does not create any relationship of principal and agent, partnership, or employer and employee.

viii. Assignment. We can assign the Agreement or your obligations to pay under it in whole or in part to anyone we choose. You cannot assign the Agreement or your obligations to anyone else without our prior written consent and any attempted assignment in violation of this provision shall be void.

ix. Final Provisions. The Agreement (which includes, without limitation, these Terms and any other Alfa Connect Services or SiriusXM Guardian Services documents incorporated herein by reference) is the entire agreement between you, FCA US and SiriusXM, as applicable. The Agreement supersedes all other agreements or representations, oral or written, between us, past or present. This Agreement will not be presumptively construed for or against any party. Section titles used in these Terms are for convenience only. If any part of the Agreement is considered invalid by a court or arbitrator, the rest of it will remain enforceable. Even after the Agreement has ended, its provisions will govern any disputes arising out of or relating to it (unless it has been replaced by a new agreement between us). It will also be binding on your heirs and successors and on our successors and assigns. No waiver of any part of the Agreement, or of any breach of it, in any one instance will require us to waive any other instance or breach. IN SOME CIRCUMSTANCES WE MIGHT DECIDE TO PROVIDE YOU SERVICE VOLUNTARILY EVEN IF YOU WOULD NOT OTHERWISE QUALIFY. THIS WILL NOT BE DEEMED A WAIVER OR REQUIRE US TO DO SO AGAIN. YOU AGREE WE WILL NOT BE LIABLE FOR ANYTHING RESULTING FROM OUR PROVISION OF SUCH SERVICE.

This FCA Connected Services Privacy Notice (the “Connect Services Privacy Notice” or “Notice”) explains FCA’s collection, use and disclosure of personal information related to the FCA “Connected Services,” which may include SiriusXM Guardian Services (separate subscription required), the Alfa Connect platform, mobile applications and features, and other services, features and technologies we make available via eligible vehicles (each a “Vehicle”).

WHEN YOU ACTIVATE, REGISTER FOR OR OTHERWISE ACCESS OR USE THE CONNECTED SERVICES, YOU CONSENT TO OUR RETRIEVAL OF INFORMATION FROM YOUR VEHICLE, OUR INSTALLATION OF OVER-THE-AIR, AUTOMATIC FIRMARE AND SOFTWARE UPDATES TO YOUR VEHICLE, AND OUR COLLECTION, USE AND SHARING OF PERSONAL INFORMATION (INCLUDING DRIVING DATA AND GEOLOCATION DATA) AS DESCRIBED IN THIS NOTICE.

SCOPE AND PURPOSE
Vehicles eligible for Connected Services are equipped with various software, sensors, features and other technologies that may generate, store, transmit or permit the retrieval of information from a Vehicle (“Vehicle Data”), which includes information related to the performance, location, operation and use of your Vehicle and the Connected Services. This Notice is intended to supplement the FCA US Privacy Policy, with respect to our collection, use and disclosure of Vehicle Data as well as personal information related to your registration, or subscription for Connected Services (“Covered Data”).

For additional information about our information practices and your rights regarding your personal information, please review the FCA US Privacy Policy (below). Your use of the Connected Services, and any dispute over privacy, is subject to the applicable Terms of Use (including those available at https://www.alfaromeoconnect.com/en-us/sirius-xm-guardian/terms.html) which are incorporated by reference into this Notice, and include applicable limitations on damages and the resolution of disputes.

COVERED DATA WE COLLECT

We collect Covered Data from a Vehicle when Connected Services are activated. For information on how to stop our collection of Covered Data from a Vehicle, please see the Your Rights and Choices section below.

Categories of Personal Information. The personal information we collect varies depending upon the circumstances and services you use but generally includes the following categories of personal information: (i) identifiers and contact information that identifies you or that allows us to contact you, such as first and last name, address, phone number, email address, account name, Internet Protocol address, VIN, or other similar identifiers; (ii) customer records, such as payment information, credit card account number and related information; (iii) commercial information, including records of products or services purchased or considered, records from usage of the Connected Services, or other purchase or usage histories; (iv) internet or mobile app activity, including, but not limited to, browsing history, search history, and your interaction with a website, application, or advertisement; (v) geolocation of your Vehicle or device; (vi) audio, visual and other electronic data related to your Vehicle usage or interactions with us; (vii) profiles, inferences and trends derived from the personal information we collect. For more information about our collection, use and disclosure of these categories of personal information pursuant to the California Consumer Privacy Act (CCPA), please go to the FCA US Privacy Policy (below).

Sources of Personal Information. In general, we collect personal information directly from users of the Connected Services, from third parties (such as dealers, platform providers, telecom providers and others with whom we work with to make available certain of the Connected Services), and automatically related to your use of the Connected Services and your Vehicle.

Information Collected from You. We may collect personal information directly from you, such as when you register for an account or communicate with us related to the Connected Services.

• Account, Registration, and Subscriptions. When you activate or register for the Connected Services, subscribe to certain features, or otherwise access or use the Connect Services, we collect information that you provide us such as your name, email address, phone number, home or work address, and other contact information; VIN and associated Vehicle Data; date of purchase; billing information and subscription details and history, including for relevant third party subscriptions. We may also certain optional information, such as your preferences, information about other drivers, demographic information and other information.

• Customer Service and Support and Other Data. When you email us, call us or otherwise contact us, we maintain records about our interactions and communications with you, including the nature of the request, name and contact information, and information related to the resolution of the request.

Information Related to Features and Services. We make a number of features and services available to you as part of the Connected Services, such as remote start, locate a vehicle, roadside and emergency services, navigation, entertainment and voice commands, the ability to set alerts on certain Vehicle usage and activities, Vehicle health and maintenance reports, wallet services, and personalized offers and services. In some cases, these features are available through an integration by you of certain third-party accounts and services, such as Alexa®. We maintain information about your use of the Connected Services, including which features or services you activate, access and use. Additional information about certain features and the Connected Services is described below.

Geolocation Data.In providing the Connected Services, we collect location information, including your vehicle’s GPS location, as well as your mobile device’s location information with your consent. Geolocation data may be associated with the other Covered Data we collect and access.

Driving Data. We collect driving data about your Vehicle, such as dates and times of use; speed, acceleration and braking data; direction of travel; trip data (mileage, date, length, conditions); ignition events; steering events; cruise control data; seatbelt status; information about vehicle incidents or events; other information about how you drive a Vehicle; and associated date/time stamps for such information.

Vehicle, Usage and Performance. We retrieve and collect Covered Data related to your Vehicle’s performance and usage, as well as diagnostic and service-related data. This includes information such as odometer, mileage, MPG and emissions data; tire pressure data; trouble or error codes, and other diagnostic data; service and maintenance history; engine performance; tire pressure data; weather, temperature and other driving conditions; fuel levels and refueling activity; battery levels and status; images from exterior cameras; other performance, mechanical and operational data; Vehicle settings, commands and presets, points of interest, and other information about your use of certain features; and associated date/time stamps for such information.

App and Site Data. When you use access the Connected Services via mobile apps, websites or online services that we make available to you (including the Alfa Connect App), we and our third party providers may use cookies, web beacons, log files, and other methods to collect information about your activities and use, including IP address, app identifier, device ID, advertising ID, location information, browser type, device type, domain name, the referring and exiting URLs, the dates and times of access and use; device name and model; operating system type, name, and version; the length of time that you are logged into or using our Services, and the links you click and your other activities. Our servers do not recognize browser do-not-track requests.

Data From Third Party Providers. We also obtain information about you from non-affiliated entities and service providers that provide certain features or functionality as part of the Connected Services (collectively “Third Party Services”), including Sirius XM Connected Vehicle Services Inc. (“Sirius XM”). FCA may collect information that is related to the performance of the Third Party Services in your Vehicle and the ways you use the Satellite Services. The third parties that provide these Third Party Services will collect and receive personal information from you related to the services they provide, subject to their own privacy policies for other purposes as stated in their own privacy policy (See SiriusXM Guardian Privacy Notice (below) for more information). FCA is not responsible for these third parties' collection, use and disclosure of your personal information.

WE MAY USE AND DISCLOSE COVERED DATA, INCLUDING DRIVING DATA AND LOCATION DATA, FOR THE PURPOSES IDENTIFIED BELOW, INCLUDING TO PERSONALIZE OUR SERVICES AND SEND MORE RELEVANT INFORMATION, OFFERS, ALERTS AND UPDATES.

USE OF COVERED DATA
Generally, we use the Covered Data (including personal information) for the following purposes:

• Providing and Improving Products Services. To provide, maintain and improve the Connected Services and our other products and services; to make available certain features and services, such as personal Drive Ratings, Vehicle Health Reports, Roadside Assist, Remote Start, Vehicle Finder; to develop new features, products, or services; for troubleshooting and maintenance; for warranty, safety, quality and product improvement purposes; to authenticate users; to process your payments; to perform technical operations, such as updating software; to notify emergency service providers; to send you messages relating to the Connected Services; and for other customer service and support purposes.
• Research and Analytics. To better understand how users access and use our Connected Services, and for other research and analytical purposes, such as to evaluate and improve our Connected Services and business operations and to develop additional products, services and features.
• Protecting Rights and Interests. To protect the safety, rights, property, or security of FCA, the Connected Services, any third party, or the general public; to detect, prevent, or otherwise address fraud, security, or technical issues; to prevent or stop activity that we, in our sole discretion, consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity; to use as evidence in litigation; and to enforce this Notice or our Terms of Use (https://www.chrysler.com/crossbrand_us/terms-of-use).
• Legal Compliance. To comply with applicable legal or regulatory obligations, including as part of a judicial proceeding; to respond to a subpoena, warrant, court order, or other legal process; or as part of an investigation or request, whether formal or informal, from law enforcement or a governmental authority.
• General Business Operations. Where necessary for the administration of our general business, accounting, recordkeeping and legal functions, or in connection with a business transfer. DISCLOSURE OF COVERED DATA

We disclose Covered Data, in order to provide and improve our products and services, reach users with more relevant information and offers, for warranty and safety purposes, to make available third party offers you may be interested in, and as otherwise set out below.

Affiliates, Vendors and Providers. We share personal information with our vendors and others who we work with to make certain services available, such as:

• Affiliates. We may disclose Covered Data to our affiliates or subsidiaries; however, if we do so, their use and disclosure of your personal information will be subject to this Notice.

Other Drivers. If you are an owner and you permit another driver to register your vehicle for a Alfa Connect account or to otherwise access and use your Alfa Connect account, then you acknowledge and agree that such individual(s) may have access to your account and associated Covered Data.

Dealers and Other Third Parties. We may share Covered Data, including driving data and geolocation data, with authorized dealers and select third parties. For example, we may share certain Covered Data with dealers so that they and we may better respond to your requests, send your relevant and personalized offers and information, and respond to your requests. We may also disclose certain Covered Data to select third parties who may use this data for their own research, development and analytics purposes, such as to better understand aggregate driving and traffic patterns, update maps and route details, analyze road conditions, and identify offers you may be interested in. Please see the Your Rights and Choices section below for details on how to opt out of our sharing of your personal information with third parties.

Business and Operational Purposes. In addition, we may disclose Covered Data in support of our business and operational purposes, including:

• Business Transfers. Your information may be disclosed and transferred by us to another company as part of any merger, acquisition, financing, sale of company assets or interests in the respective company, or in the case of insolvency, bankruptcy, or receivership, including during negotiations related to such business transfers.

Aggregate and De-Identified Information. We also may use and disclose aggregate, anonymous, or de-identified information about users for marketing, advertising, research, compliance, or other purposes.

THIRD-PARTY SITES AND SERVICES

SAFEGUARDS
We have implemented a variety of safeguards designed to protect Covered Data from unauthorized access, use, or disclosure. However, no method of electronic transmission or storage, is 100% secure. INFORMATION ABOUT CHILDREN
The Connected Services are not directed at children and we do not knowingly collect any personal information from children under the age of 16.

YOUR RIGHTS AND CHOICES
You may review and update much of the personal information that you have submitted by logging into your account and updating your profile information. Please note that we may maintain copies of information that you have updated, modified or deleted, as permitted, in our business records and in the normal course of our business operations, as permitted or required by applicable law.

Opting Out. In order to provide the Connected Services, we must collect use and disclose certain Covered Data. If you do not want FCA to collect any Covered Data going forward, please contact us at 844-796-4827 and ask to “Cancel for Privacy Reasons”. This request will result in the deactivation of your wireless transmission network service and will cease your access to most Alfa Connect features, including the SiriusXM Guardian safety and convenience services. It will also prevent updates to your in-vehicle manual and the implementation of any Wi-Fi services through the vehicle. Please note that cancelling your SiriusXM Guardian subscription does not stop all transmission and collection of Covered Data; to stop data transmission you must request to “Cancel for Privacy Reasons” as set out above.

Opt Out of Certain Services. You may opt out of certain features and services, such as notifications, by logging in with your Alfa Connect account (https://www.alfaromeoconnect.com/en-us.html). Please note that this will not opt you out of disclosures of de-identified or aggregate data that do not identify you or your Vehicle, nor will it opt out of disclosures in order to provide the Connected Services to you.

Not Covered by this Policy. This Policy does not apply to job applicants and candidates who apply for employment with us, or to employees and non-employee workers.

2. INFORMATION WE COLLECT
The information we collect varies depending upon the circumstances and the Services you use.

Sources of Personal Information. We may collect personal information directly from individuals, such when an individual registers for a Uconnect® or MOPAR® account, contacts us, or inquires with us about a vehicle. We may also collect personal information from third parties, such as dealers, platform providers, telecom providers, data aggregators, social media sources, public records, and other third parties with whom we work to make available our Services. In addition, we automatically collect personal information related to the use of our Websites, Apps, Connected Services and other Services.

Information We Collect from You. We may collect personal information directly from you, including:

• Registration and profile information: to access and use certain of our Services (such as Connected Services or a MOPAR® account), you must register for an account by providing us with certain required information, which may include your name, a user name, password, email, and other contact information. We may also ask you or allow you to submit certain additional optional information, which may include your phone number, location, preferences, and other similar profile information.

• Purchases and payments information: if you purchase products or services from us, such as branded merchandise or parts, whether online or over the phone, we collect information related to your order, which may include name, billing and shipping address, and payment details. We may work with external payment processors and fulfillment partners to process these payments.

• Communications and support. If you contact us by email, mail, phone chat or otherwise regarding the Services, we collect and maintain a record of your contact details, communications and our responses. If you call us, we may also record calls and maintain logs and records of these calls.

• Inquiries and requests: We also collect personal information when you submit information to or request information from us (such as request a quote, find a vehicle or locate a dealer) or sign up for marketing and communications from us (such as related to FCA US product launches, special offers and upcoming vehicle and product releases). • Events, contests and promotions. We may also run contests, sweepstakes or other promotions or participate in certain events (collectively, “Events”), online and offline. We may append this information to the information we have already collected about you. Information We Collect Automatically. Dealers and Other Third Parties. We may share personal information with dealers and other select third parties, for marketing, research and analytics purposes.

• Dealers: we may share personal information, such as name, contact information and other data about your vehicles or interests, with our authorized dealers in your area so that they may contact you about your vehicle needs and purchase plans, or otherwise reach out to you for marketing purposes.

• Marketing partners:Marketing partners: we may share your personal information with certain third parties so that they may send you offers and other information we think you may be interested in.

• Other third parties: we may share your personal information with other third parties that provide advertising, campaign measurement, online and mobile analytics, and related services. These other third parties may receive or access Usage Data and other personal information in order to help us better reach individuals with relevant ads and measure our ad campaigns, or to better understand how individuals interact with our Websites and online services overtime and across devices.

5. COOKIES AND OTHER TRACKING INFORMATION
We and our third-party providers use cookies, clear GIFs/pixel tags, JavaScript, local storage, log files, and other mechanisms to automatically collect and record information about your browsing activities, and use of the Websites and other Services. We may combine this “usage data” with other personal information we collect about you. We use this usage data to understand how our Services are used, track bugs and errors, provide and improve our Services, verify account credentials, allow logins, track sessions, prevent fraud, and protect our Services, as well as for targeted marketing and advertising, to personalize content and for analytics purposes (see the Your Rights and Choices section below for information about opting-in out of certain uses of your personal information)

Cookies. Cookies are alphanumeric identifiers that we transfer to your computer’s hard drive through your web browser for record-keeping purposes. Third-Party Analytics. Please note that marketing opt-out requests will only remove you from our direct marketing list and the list of any Service Provider performing services on our behalf. We are not responsible for the use any other party may makes of your personal information transferred prior to your opt-out and in accordance with this Policy. In such case, you will need to contact the relevant entity to have your personal information removed from the entity’s database.

California Residents. California residents have certain rights, under California privacy laws, regarding their personal information, which are set forth in the Additional Information for California Residents section below.

10. SPECIAL NOTICE TO INTERNATIONAL USERS AND CUSTOMERS
As a globally operating company, FCA US may transfer your personal information to the United States and to other jurisdictions where we or our affiliates, suppliers or service providers have operations. As such, your personal information may accessed, stored, processed, or subject to law enforcement requests in these jurisdictions, which may not have equivalent privacy laws as in home jurisdiction.

11. PRIVACY SHIELD
FCA US complies with the EU-U.S. Privacy Shield and Swiss-U.S. Privacy Shield Frameworks as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information from the European Union (EU)/ European Economic Area (EEA) and Switzerland to the United States, respectively. To learn more about the Privacy Shield program, and to view our certification, please visit www.privacyshield.gov.

In Scope Data Collection and Use. Our Privacy Shield Certification applies to personal information we collect from the EU/ EEA and/or Switzerland about consumers, workforce, vendors, suppliers and others in connection with the manufacture, distribution and sale of automobiles and related goods and services in the, which is subject to the EU General Data Protection Regulations (“GDPR”) or the Swiss Federal Data Protection Act (respectively the “relevant personal information” for purposes of this Privacy Shield section).

Relevant personal information may include location, recruitment and job applications, website or application usage, product registration and support, and other human resources information, as well as certain sensitive information (e.g., information about medical condition, race or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, or information specifying the sex life of the individual). We may use employee personal information for internal purposes, including system access, payroll and benefits, training, security, reporting, and global corporate directories.

Privacy Policy and Consent. To the extent that FCA US collects relevant personal information directly from individuals in the EU/EEA and Switzerland, and as provided under the Privacy Shield, FCA US will provide those individuals with notice and a clear, conspicuous, and readily available mechanism for requesting that their personal data not be used for specific purposes or disclosed to certain third parties. FCA US will obtain affirmative express consent for the disclosure of any sensitive information to a third party or if used for a purpose other than those for which it was originally collected or subsequently authorized.

To the extent that FCA US acts solely as a data processor when processing personal data on behalf of data controllers, FCA US acts only on the instructions of its controller and does not control or share such personal data without direction from the controller. In those instances, and to the extent provided for by applicable law, FCA US may rely on the data controller to satisfy the notice and consent principles under applicable EEA or Swiss law, and will act on the instructions of those controllers.

Access. EEA and Swiss Data Subjects have the right to access relevant personal information about them that is covered by this Privacy Shield section. Relevant personal information can be corrected, amended, or deleted such relevant personal information, subject to certain limitations permitted by the Principles.

Onward Transfer. Where FCA US shares relevant personal information with we will do so in a manner consistent with the Privacy Shield Principles. FCA US will maintain written contracts with those third parties to whom it discloses Personal Data, and will require those third parties to:

• Provide the same level of protection as the Privacy Shield Principles to that relevant personal information; and
• Contractually agree that relevant personal information will only be processed for limited and specified purposes consistent with the consent given by the individual.

FCA US also requires that the recipient will provide the same level of protection as the Privacy Shield Principles and that the recipient will notify FCA US if it makes a determination that it can no longer meet those obligations. To the extent provided by the Privacy Shield principles, FCA US remains responsible and liable under the Privacy Shield if the third party agents that it engages processes the personal information on its behalf in a manner inconsistent with the Privacy Shield principles, unless FCA US is able to prove that is not responsible for the event giving rise to the damage.

Recourse, Enforcement and Liability. In compliance with the Privacy Shield Principles, FCA US commits to investigate and will attempt to resolve complaints about your privacy and the collection or use of your personal information within 45 days. EEA and Swiss citizens with inquiries or complaints regarding this Privacy Policy should first contact our Privacy Office by sending an email to dprivacy@fcagroup.com.

FCA US commits to cooperate with the panel established by the European Union Data Protection Authorities (DPAs) and the Swiss Federal Data Protection and Information Commissioner (FDPIC). FCA will comply with the advice given by such authorities with regard to data transferred from the EU and Switzerland. Pursuant to the Privacy Shield Principles, if you do not receive timely acknowledgement of your complaint or if your complaint is not satisfactorily addressed, please contact the DPA at http://ec.europa.eu/justice/data-protection/bodies/index_en.htm.

If your dispute remains fully or partially unresolved after taking the above actions, under certain and limited conditions, you may invoke last resort binding arbitration by a “Privacy Shield Panel” composed of arbitrators designated by the U.S. Department of Commerce and the European Commission. An individual's decision to invoke this binding arbitration option is entirely voluntary. FCA US is subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission.

12. CHILDREN
FCA US Websites or Applications are not targeted and directed at children under age 16 and we do not knowingly collect any personal information from a child under 16. If you believe we have inadvertently collected personal information about a child, please contact us and we will take steps to delete this information.

13. CHANGES TO THIS POLICY
We encourage you to periodically review this Policy, as we may change our Policy from time to time, in which case we will post the updated Policy on our Websites or within the Apps. You Rights Under California’s Shine-the-Light Law. Under California’s “Shine the Light” law (Cal. Civ. Code § 1798.83), California residents who provide us their personal information are entitled to request and obtain from us, free of charge, information about the personal information (if any) we have shared with third parties for their own direct marketing use; such requests may be made once per calendar year for information about any relevant third party sharing in the prior calendar year (so, requests submitted in 2020 would be applicable to relevant disclosures (if any) in 2019). SiriusXM Guardian Privacy Policy

Effective January 1, 2020

This SiriusXM Guardian Privacy Policy (the“Policy”) applies to your trial, paid or other subscription to the SiriusXM Guardian suite of connected vehicle services (the “Services”), provided to you by Sirius XM Connected Vehicle Services Inc. (“Sirius XM CV”). This purpose of this Policy is to inform you how Sirius XM CV may collect, access, use, and disclose your personal information, vehicle information, and information related to your use of the Services. The Services governed by this Policy include the SiriusXM Guardian connected vehicle services, whether accessed through a vehicle equipped with a Uconnect or Alfa Connect device (each, a “Vehicle”) or otherwise, and any SiriusXM Guardian website operated by Sirius XM CV (the “Sites”). As used in this Policy, “we”, “our” or “us” refers to Sirius XM CV. The Services are operated and performed from the United States and are not intended to be subject to the laws or jurisdiction of any state, country, or territory other than that of the United States. By submitting your information to us, or by enrolling in, activating, or using the Services, you agree to the terms of this Policy and you expressly consent to the collection, use, and disclosure of your information in accordance with this Policy. Use of the Services including the Sites are also subject to the Uconnect and SiriusXM Guardian Terms of Service as well as any terms of use for the Sites.

What Information is Covered and Not Covered by This Policy

Covered: This Policy applies to information that we collect, access, or use about you or your Vehicle (including information from or about any of the occupants in your Vehicle) through the Services or as described herein. This Policy also covers information that we collect on behalf of or share with our parent corporation, Sirius XM Radio Inc. (“Sirius XM Radio”), as described below. However, Sirius XM Radio’s use of the information is governed by the Sirius XM Radio privacy policy, found at www.siriusxm.com.

Not Covered: This Policy does not govern information collected, accessed, used or stored by FCA US LLC (“FCA”) either as collected through Uconnect or Alfa Connect devices or services or as shared with FCA or Alfa Romeo by Sirius XM. The FCA Uconnect and Alfa Connect Privacy Policies are in addition to this Policy and may be found at www.driveuconnect.com/connectedservices/privacy and www.alfaromeoconnect.com/en-us/FCA-connected-services/privacy.html.Please read these policies for additional information on collection and use of data through SiriusXM Guardian.

Upon activation of the Services by enrollment in SiriusXM Guardian, vehicle data including location data is transmitted from your Vehicle at regular intervals and passes through Sirius XM CV systems to FCA (“Transmitted Vehicle Data”). Sirius XM CV does not access, use or store Transmitted Vehicle Data, and this Policy does not apply to Transmitted Vehicle Data. Cancellation of SiriusXM Guardian Services alone does not stop the transmission of Transmitted Vehicle Data from your vehicle. If you want to stop the collection of Transmitted Vehicle Data, you must follow the steps listed below in the Privacy Choices section.

The telematics device embedded in your Vehicle or other devices or applications connected to your Vehicle by you may allow information to be transmitted to or collected by connected services providers other than Sirius XM CV. Sirius XM CV has no control over such other connected services, and this Policy does not cover information you provide to or that is collected, used or disclosed by connected service providers other than Sirius XM CV. Sirius XM CV does not share your personal information with other such connected vehicle service providers without your consent. Please see your Vehicle’s owner manual or the privacy policies of the respective service provider or application for more information about their data collection and use practices.

This Policy does not restrict our use or sharing of information which is anonymized or in an aggregated form, (i.e. information that cannot be used to directly identify you or your Vehicle).

Information We Receive or Collect From You or Your Vehicle.

We collect information about you or your Vehicle (“Collected Data”) in accordance with this Policy, such as information you provide to us, information generated by devices in your Vehicle in conjunction with the Services, service and marketing interactions with us as well as information from your use of the Services and of Satellite Services (as defined below), when applicable. Collected Data transmission begins with the activation of the Services in a Vehicle. In the event of a purchase of a pre-owned Vehicle, the Services may have been activated prior to the purchase.

Collected Data may include the following:

• Account Information. We collect
o Contact information you provide when you register for the Services or call one of our customer care centers for assistance, such as your name, mailing address, email address, telephone number.
o Purchase and payment information, such as your choice of service package and duration, price and credit card account number and expiration date. We do not provide your financial information to any third party, except as necessary to process and service a payment transaction for the Services.
o Recordings of your calls with our customer care specialists to provide service or account management.
• Service Usage Data. We collect information about your Vehicle, your Vehicle’s location and the nature of the request when your Vehicle initiates a service command or when you use the Services through the in-vehicle button or the FCA mobile app or other means. We use this information to perform the Services you request, to monitor and troubleshoot the performance of the Services and our systems, to customize our communications with you, and to research, analyze, enhance and improve product and service offerings. We also collect information you submit when you use the Services from your Vehicle, your phone, or through the Sites, such as points of interest, drive alert settings, or other information required to perform Services you request.
• Vehicle Data. We collect information related to your Vehicle (“Vehicle Data”) to set up and service your account, such as VIN, make, model, and year of your Vehicle; the telematics device type and associated capabilities for your Vehicle. Additional Vehicle Data collected by us includes collision information and speed. After your Vehicle’s ignition is turned off, the Vehicle transmits the location of the Vehicle and the time it was turned off.
• Location Data. Our collection and use of your Vehicle’s GPS location (“Location Data”) is required in order for us to perform the Services. We record, monitor or collect the location of your Vehicle regardless of who is driving it a) in order to perform the Services as requested by you, other occupants, or another driver of the Vehicle; b) when Service Usage Data is collected as described above, c) when certain Vehicle Data is transmitted upon ignition off; d) when we are required to do so by applicable local, state or federal laws, rules or regulations; or e) in connection with our efforts to communicate with the Vehicle purchaser or recover the Vehicle pursuant to agreements governing the lease or financing of such Vehicle. We do not have the ability to locate a Vehicle on demand unless the Stolen Vehicle Locator function has been activated by an active subscriber to the Services, or we are directed to do so pursuant to a valid court order, or as otherwise expressly stated herein and in the Uconnect and SiriusXM Guardian Terms of Service or Alfa Connect and SiriusXM Guardian Terms of Service, respectively.
• Customer Experience Data. We may collect survey information about the way you use the Services that helps in troubleshooting, improving, customizing or communicating about and understanding how and when you utilize the Services which are offered to you.
• Satellite Services Data. Satellite radio and other satellite delivered services such as Traffic and Travelink (collectively “Satellite Services”) provided by Sirius XM Radio in connection with your Vehicle’s satellite radio device are separate and distinct from the Services. We may collect information that is related to the satellite radio in your Vehicle and the ways you use your satellite radio and the Satellite Services. This information is used by us to help identify signal outages, to improve Sirius XM Radio’s Satellite Services product and content offerings, and to customize or communicate with you to enhance your Sirius XM audio listener experience.
• Sites Usage Data. We may use systems or tools to follow your use of the Sites, including using cookies, web beacons, log files, or other technologies. When you use the Sites, we or a third party acting on our behalf may collect and use or record site click-stream and cookie data regarding use and performance of the Sites during your visit (“Site Usage Data”). Site Usage Data may include without limitation the pages you view, the search terms you enter, your IP address, your operating systems and browser client, and your geographic region. We sometimes use cookies and similar technologies to enable features on our Sites, to develop products and services, and to personalize your experience. The Sites do not respond to “do not track” beacons or other such signals. You may have received a tracking mechanism prior to your visit to the Sites from other parties that will continue to track your activity while on the Sites. These third party cookies and technologies are governed by the privacy policies of the entities placing those mechanisms and are not subject to this Policy. How We Use Your Information.

In addition to the uses set forth above, we retain and use Collected Data for a variety of purposes including without limitation, to provide the Services to you; to communicate with you about your account; for troubleshooting and maintenance of the Services and our networks and systems; to prevent fraud and misuse of the Services; to allow us, FCA US’s and Alfa Romeo’s dealers and third parties to evaluate and improve products or services and present you with promotional offers, new or additional products or services or for marketing purposes; to protect your safety and the safety of others; to comply with laws, regulations, court orders, and subpoenas or similar requests for information by authorities; to conduct market research; to analyze Vehicle information and Vehicle use information for quality and product improvement purposes, and to enforce the Uconnect and SiriusXM Guardian Terms of Service or Alfa Connect and SiriusXM Guardian Terms of Service, as applicable.

We use Location Data to perform the Services, for quality or research and development purposes; to notify emergency service providers; to send you Services–related messages; to assist law enforcement as part of a request for stolen vehicle assistance or other assistance in response to a valid court order or subpoena; and to protect your safety or the safety of others in our sole discretion (e.g., to locate a missing person).

We use Site Usage Data to provide the Services you request through the Sites, and to administer, troubleshoot and improve the Sites.

How We Share Your Information.

We share Collected Data with FCA for its use in providing Uconnect or Alfa Connect services and for other purposes set forth in the Uconnect and SiriusXM Guardian Terms of Service, the Alfa Connect and SiriusXM Guardian Terms of Service, and the FCA Connected Vehicle Privacy Policies located at www.driveuconnect.com/connectedservices/privacy and www.alfaromeoconnect.com/en-us/FCA-connected-services/privacy.html, respectively. We may disclose Collected Data to third parties for any of the uses described in How We Use Your Information. For example, we may share Collected Data with roadside assistance providers, third-party applications or service providers, law enforcement, regulatory agencies, or emergency service providers. Where applicable, your choice to use third party applications through the Services or otherwise may result in these third parties collecting your personal information. You may also choose to give personal information directly to third parties when using the Services. In each case, personal information you give a third party will be subject to that third party’s terms, conditions, and policies and is not governed by this Policy. You should review a third party’s privacy policy and terms of service before providing your information or prior to using the third-party service.

Business Transfers. Collected Data may be disclosed and transferred by us as part of any merger, acquisition, financing, sale of company assets or interests in the respective company, or the transition of service to another provider. In the unlikely event of insolvency, bankruptcy, or receivership, personal information may also be transferred as a business asset.

Safeguards And Retention Of Information.

We may retain your information in order to fulfill our respective business purposes and use a variety of procedural, physical, and technological safeguards in our efforts to protect your information from unauthorized access, use, or disclosure. We require you to have a Uconnect Services or Alfa Connect Services, as applicable, user ID and password, and it is important that you maintain the confidentiality of this information at all times and update the password regularly. We also require that you establish a SiriusXM Guardian personal identification number (PIN) which is required to use certain SiriusXM Guardian features such as remote door lock and unlock. It is important that you do not provide your PIN to anyone who is not authorized to use or incur charges on your SiriusXM Guardian account. WE are NOT responsible for unauthorized use of the Services or FOR charges to your account when the appropriate authentication has been provided. No method of electronic transmission, or method of electronic storage, is 100% secure, and it may be possible for third parties not under our control to intercept or access information unlawfully. Therefore, we cannot guarantee its absolute security.

SMS Terms for Access to In-Vehicle and Dealership Enrollment.

Utilization of the head unit of your Vehicle to access enrollment in the Services is subject to these terms (the “SMS Terms”). Enrollment is necessary in order to activate the Services. In order to request access to enrollment using the head unit on your Vehicle, you will be required to enter your mobile telephone number where indicated on the head unit’s screen. At the time you purchase your Vehicle, you may also elect to access enrollment in the Services at the Dealership. Accessing enrollment at the Dealership is also subject to the SMS Terms. After requesting access to enrollment by entering your mobile telephone number into your Vehicle’s head unit or at the Dealership, you will receive a single text message containing a link with further instructions to complete the enrollment process. You will only receive one text message per request for enrollment. Should you require additional information for assistance, you may respond to that text with “HELP” and will then receive an additional text with further information on how to receive assistance. Should you wish to rescind your request for access to enrollment, you may respond to the text with “STOP” and no more messages will be sent to your mobile telephone number even if you subsequently request access to enroll in the Services through the head unit of your Vehicle or at the Dealership.

In addition to the SMS Terms, the Terms of Service, and the Privacy Policies apply. You can obtain a copy of the Terms of Service in effect at: www.driveuconnect.com/sirius-xm-guardian/terms.html . In the event of any potential conflict between any offer for Services and the SMS Terms, Terms of Service, and Policy, the SMS Terms, Terms of Service, and Policy will govern.

Protecting Children.

The Services are not directed at children and we do not knowingly collect any personal information from children under the age of 13. If you are under 18, or otherwise would be required to have a parent or guardian consent to share information with us, you should not send any information about yourself to us. If a person under 13 submits information through any part of the Services and we learn the person submitting the information is a child, we will attempt to delete this information as soon as possible.

Privacy Choices.

Your choices to limit collection and use of Collected Data

The collection, use and sharing of Collected Data is essential to providing the Services. You may not disable the transmission of Location Data, Service Usage Data or Vehicle Data within the use of the Services. To disable Location Data, Service Usage Data or Vehicle Data, you must cancel your SiriusXM Guardian subscription by calling 844-796-4827 or any other method mandated by law.

If you do not want Transmitted Vehicle Data to be collected or used, you must contact us directly at 844-796-4827 and ask to cancel your Services for privacy reasons.This request will result in the deactivation of your wireless transmission network service and will cease your access to SiriusXM Guardian safety and convenience services and certain other Uconnect or Alfa Connect services. It will also prevent updates to your In-vehicle Manual and the implementation of any Wi-Fi services through the Vehicle, if available. Please note that cancelling your SiriusXM Guardian subscription without the request to deactivate for privacy reasons will not cancel the transmission of Transmitted Vehicle Data to FCA or Alfa Romeo.

If you wish to opt out of receiving promotional communications related to the Services by email or telephone, you may do so at any time by calling customer care at 844-796-4827. You may also follow the links to unsubscribe from promotional email communications in the footer of our marketing communications with you. Even if you opt out of promotional communications, you may continue to receive service or account-related communications from time to time.

Your Privacy Rights Under State Laws

Please see below for additional provisions required under the consumer privacy law of the respective states.

Nevada Residents: If you are a resident of Nevada, you have the right to request limits to the sale of certain personal information to third parties for resale or licensing purposes, subject to applicable law. Sirius XM CV does not sell your personal information for any use. You are entitled to register your preference for limits on such sales in the future by sending an email to privacy@siriusxm.com, with the subject line, “Nevada Do Not Sell Request” along with your first and last name, zip code, and whether you are a former or current SiriusXM Guardian subscriber. If you are a former or current SiriusXM Guardian subscriber, in order to process your request, your email address must match the email address on your account.

California Residents: We do not share your personal information (as defined) with unaffiliated third parties for their own independent marketing purposes without your consent. You may request the categories of personal information we shared with third parties for their own marketing purposes and the names of those third parties during the previous calendar year. Requests that come to us by other means may result in a delayed response.

Territorial Limitations.

The Services are operated and performed from the United States and are not intended to be subject to the laws or jurisdiction of any state, country, or territory other than that of the United States. The Services for U.S. subscribers may function with limited availability and functionality on U.S. registered vehicles while in Canada. We do not promote the Services in Europe and do not provide service to vehicles in Europe. We do not intend to collect, and we do not knowingly store personal information from consumers or users who are residents of countries outside of the United States or Canada.

Updating This Policy.

We may change this Policy at any time. If we make material changes to this Policy or how we handle your personal information, we will provide notice by changing the Effective Date of the Policy or as required by law. By using the Services after the Effective Date, you are deemed to consent to the then-current Policy. We recommend that you check back and review this Policy from time to time.
